TDR Capital and Sun Capital Partners Finance Their Acquisition of Keepmoat

Simpson Thacher represents TDR Capital LLP and Sun Capital Partners Limited in connection with the financing of their acquisition of Keepmoat, including (i) a Rule 144A and Regulation S offering of £263 million aggregate principal amount of 9.500% Senior Secured Notes due 2019, issued by a finance affiliate of Keepmoat, and (ii) a £75 million Revolving Credit Facility Agreement. The notes offering closed into escrow on October 3, 2014 and will be released upon completion of the acquisition.

Norton Rose Fulbright advises lenders on the financing for the LBO of RGI Group by international private equity firm Ardian

Norton Rose Fulbright has advised UniCredit (as Mandated Lead Arranger, Bookrunner and Facility/Security Agent) and GE Capital (as Mandated Lead Arranger) in connection with the debt package supporting the acquisition by international private equity firm Ardian of a majority stake in RGI S.p.A. from 21 Investimenti, Quadrivio and other shareholders. RGI’s founder, Paolo Benini, and other managers, including CEO Vito Rocca, will maintain a shareholding in the company. The syndicate of lenders is comprised of UniCredit, GE Capital, UBI Banca and Banco Popolare.

Borenius Advised the Lead Managers on Outokumpu Plc's EUR 250 Million Senior Secured High-Yield Notes Issue

Borenius advised Nordea Markets and Pohjola Markets as coordinators and lead managers, and Danske Bank, Skandinaviska Enskilda Banken and Swedbank as the other lead managers on the EUR 250 million senior secured notes issue by Outokumpu Plc. The bond is secured and guaranteed by several domestic and foreign subsidiaries belonging to the Outokumpu Group and it is also listed on NASDAQ OMX Helsinki.

Gide advised the Joint Bookrunners Société Générale Corporate & Investment Banking, Santander Global Banking & Markets, BNP Paribas, CM-CIC and Commerzbank on the issuance by Vallourec of its € 500 million 2.250 per cent. notes due 2024, admitted to trading on the regulated market of NYSE Euronext in Paris.

Cuatrecasas, Gonçalves Pereira advises Banco Popular on selling 51% of its bank card business to Värde Partners

Banco Popular has reached an agreement with the American investment manager Värde Partners to sell its 51% stake in Bancopopular-e, the company responsible for the card issuing business. The sale includes Citibank España’s bank card business, bought by Banco Popular in June.

Linklaters and Allens lead the way on Euro issuances for Australian corporates

Global integrated alliance partners Linklaters and Allens have advised the arrangers on a €500 million Euro Medium Term Note issuance for Australia's largest rail freight operator, Aurizon Network.

Allens and Linklaters advised RBC Capital Markets, Bank of America Merrill Lynch and Credit Suisse on the debut issuance for Aurizon Networks.

Allens Partner James Darcy and Linklaters Partners Jeremy Webb and Andrew Malcolm, with support from Managing Associate Jonathan Horan, led the cross-border team on the deal.

Dentons advises Burgan Bank on US$500 million issuance

Dentons has advised Burgan Bank on the issuance of US$500 million Perpetual Tier 1 Capital Securities. The Capital Securities were listed on the Irish Stock Exchange and represented Kuwait's first ever Basel III-compliant regulatory capital issuance.

HSBC Bank acted as Global Coordinator, and, together with Citigroup, J.P. Morgan and National Bank of Abu Dhabi, as Joint Lead Managers, in relation to the issuance of the Capital Securities. Burgan Yatirim Menkul Degerler acted as Co-Lead Manager on the transaction.
