Firm Represents Underwriters in US$191.7 Million NASDAQ IPO of Qunar Cayman Islands Limited

Simpson Thacher represented the underwriters, led by Goldman Sachs (Asia) L.L.C. and Deutsche Bank Securities Inc., in connection with the initial public offering and listing on the Nasdaq Global Market of American depositary shares (“ADSs”) of Qunar Cayman Islands Limited (“Qunar”). The offering of 12,777,650 ADSs (including 1,666,650 ADSs pursuant to the exercise of the underwriters’ over-allotment option), each representing three Class B ordinary shares, raised an aggregate of US$191.7 million.

Baker & McKenzie Advises on HK$1,525 Million Financing for Hui Xian REIT

Baker & McKenzie acted as counsel to DB Trustees (Hong Kong) Limited, in its capacity as the trustee of Hui Xian Real Estate Investment Trust (“Hui Xian REIT”), on the HK$1,525 million term loan facility for Hui Xian REIT. The term loan facility will be used to fund the repayment of existing loan facilities and for general corporate funding needs, including financing future acquisitions.

Hang Seng Bank Limited acted as the coordinator and mandated lead arranger for the facility.

InvenSense, Inc. Convertible Senior Notes Offering

Davis Polk advised Goldman, Sachs & Co. in connection with a Rule 144A offering by InvenSense, Inc. of an aggregate principal amount of $175 million of its 1.75% convertible senior notes due 2018. In addition, Davis Polk advised Goldman, Sachs & Co. as the counterparty to convertible note hedge and warrant transactions.

Norcraft Companies, Inc.’s Initial Public Offering

Norcraft’s common stock is listed on the New York Stock Exchange under the symbol "NCFT."

Based in Eagan, Minnesota, Norcraft Companies, Inc. is a leading manufacturer of kitchen and bathroom cabinetry in the United States and Canada. 

Integra LifeSciences Holdings Corporation Common Stock Offering

Province of British Columbia 2.5 Billion Chinese Renminbi Bond Offering

Davis Polk advised The Hongkong and Shanghai Banking Corporation Limited, Bank of China and Industrial and Commercial Bank of China (Asia) Limited as underwriters in connection with the offering of 2.5 billion Chinese Renminbi aggregate principal amount of 2.25% bonds due 2014, issued by the Province of British Columbia.

ServiceNow, Inc. $575 Million Convertible Senior Notes Offering
