Clifford Chance advises Haitong Securities on US$715 million acquisition of China leasing business

Hong Kong: Leading international law firm Clifford Chance has advised Haitong International Holdings, a wholly-owned subsidiary of Haitong Securities Co., Ltd, on its proposed acquisition of the China leasing business held by UT Capital Group Co., Ltd for US$715 million from private equity firm, TPG Capital.

DuPont Fabros Technology High-Yield Notes Offering and Concurrent Tender Offer

Davis Polk advised the initial purchasers on a Rule 144A/Regulation S offering of $600 million aggregate principal amount of 5.875% senior notes due 2021 by DuPont Fabros Technology, L.P. We also advised Goldman, Sachs & Co. as dealer manager in connection with DuPont Fabros Technology L.P.’s cash tender offer for its outstanding 8.5% senior notes due 2017 and related consent solicitation. The tender offer will be funded in part with the proceeds of the notes offering.

Baker & McKenzie advised the sole sponsor and underwriter, BOCI Asia Limited, as Hong Kong law counsel, on the HK$607 million global offering of International Housewares Retail Company Limited ("IHRCL"), a housewares retail chain with operations in Hong Kong, Singapore, West Malaysia, the PRC and Macau.  The shares commenced trading on The Stock Exchange of Hong Kong Limited on 25 September 2013.

Osborne Clarke advise Peel Hunt LLP on £40m placing

Osborne Clarke has advised Peel Hunt LLP in its capacity as nominated adviser, bookrunner and financial adviser to Stanley Gibbons in connection with its £40 million equity placing. The proceeds of the placing are being used to finance the cash element of the £46 million takeover of AIM quoted collectibles business Noble Investments.

The Osborne Clarke team is being led by Corporate Partner Jonathan King assisted by Senior Associate Jake Turcan.

Ashurst has advised Macquarie Capital (Europe) Limited, as well as Fox-Davies Capital Limited and FirstEnergy Capital LLP, on a £31 million placing by San Leon Energy plc, the oil and gas exploration and development company focused on projects in Poland, Albania, Morocco and Ireland, made in connection with its acquisition of 75 per cent of the issued share capital of Alpay Enerji AS, a Turkish oil and gas company. Alpay Enerji AS was acquired by San Leon Energy from Server Fatih Alpay.

Slaughter and May advised Standard Chartered PLC on its issue of US$1 billion 5.20% Dated Subordinated Notes due 2024 under its US$50 billion Debt Issurance Programme. Barclays Capital, BofA Merrill Lynch, Deutsche Bank Securities and Standard Chartered Bank acted as joint lead managers and RBC Capital Markets acted as co-lead manager.

UniCredit Secures Affirmance of Dismissal of Madoff-Related Claims

Skadden secured the affirmance of a dismissal of multibillion-dollar lawsuits brought against UniCredit S.p.A. by foreign investors in three "feeder" funds, claiming that UniCredit and other defendants aided in Madoff's Ponzi scheme by failing to conduct due diligence and other allegedly wrongful conduct. The U.S. Court of Appeals for the Second Circuit affirmed the lower court's decision (also handled by Skadden) and dismissed the claims on the basis of forum non conveniens.

Crédit Agricole Wins Dismissal of Intesa CDO Suit

Skadden secured the dismissal with prejudice of claims brought against Crédit Agricole Corporate and Investment Bank (CA-CIB) by Intesa Sanpaolo SpA. Intesa alleged it was defrauded in a collateralized debt arrangement by CA-CIB that caused the company a loss of more than $180 million. On Sept. 10, 2013, Judge Robert W. Sweet of the U.S. District Court for the Southern District of New York dismissed the case, finding that Intesa’s federal claims are time-barred because it did not sue until at least one month after the five-year statute of repose expired.
