Shell International Finance's $3.75 Billion Registered Debt Offering

Cravath represented Shell International Finance B.V. and Royal Dutch Shell plc in connection with a US$3.75 billion registered debt offering by Shell International B.V., guaranteed by Royal Dutch Shell plc. Royal Dutch Shell plc is one of the world’s largest independent oil and gas companies in terms of market capitalization, operating cash flow and oil and gas production. The notes were listed on the New York Stock Exchange. The transaction closed on August 12, 2013.

The Cravath team included partner William P. Rogers Jr. and associate Raffael M. Fiumara.

Simpson Thacher Represents Underwriters in $400 Million Notes Offering for Broadridge Financial Solutions, Inc.

JDS Uniphase Corporation Convertible Debentures

Davis Polk advised Morgan Stanley & Co. LLC and J.P. Morgan Securities LLC as representatives of the initial purchasers in connection with a Rule 144A offering by JDS Uniphase Corporation of an aggregate principal amount of $650 million of its 0.625% senior convertible debentures due 2033.

Headquartered in Milpitas, California, JDS Uniphase provides communications test and measurement solutions and optical products for telecommunications service providers, cable operators and network equipment manufacturers.

Direct Edge and BATS Global Markets Agree to Merge

WilmerHale is representing its longstanding client, Direct Edge, in its recently announced merger with BATS Global Markets. The combined company will create an exchange operator responsible for executing about 20.6% of all US shares traded so far this month, vaulting the company to the number two spot behind NYSE Euronext and ahead of Nasdaq. The transaction is subject to customary closing conditions, including antitrust and securities regulatory approvals.

Ashurst advises IFDS on its service agreement with Old Mutual and Skandia Life

Ashurst advised International Financial Data Services (IFDS) in connection with its 20 year agreement to provide outsourcing for back and mid office services to Old Mutual and Skandia Life. The integration of IFDS administration, process and technology is due to start in 2016. The IFDS technology should facilitate response to independent financial adviser and customer needs more quickly than currently.
