Davis Polk advised Goldman, Sachs & Co., Barclays Capital Inc. and Citigroup Global Markets Inc. as joint book-running managers and representatives of the underwriters in connection with the $112.7 million initial public offering of 8,050,000 shares of common stock of Stock Building Supply Holdings, Inc., of which 4,411,765 shares were issued and sold by the Company and 3,638,235 shares were sold by the selling stockholders (including 1,050,000 shares from the full exercise of the underwriters’ over-allotment option).

Morgan Securities LLC as the joint book-running managers in connection with an SEC-registered secondary offering of 4,696,715 shares of common stock of Quality Distribution, Inc., of which 4,611,194 shares were sold by certain affiliates of Apollo Management, L.P. and 85,521 shares were sold by MidOcean Capital Investors, L.P., including 426,974 shares from the underwriters’ exercise in full of their option to purchase additional shares.

Baker & McKenzie is advising KASIKORNBANK Public Company Limited, as a financial advisor to Impact Exhibition Management Co., Ltd. (a subsidiary of Bangkok Land Public Company Limited), on the establishment of Impact Growth REIT. Its underlying assets will include Impact Exhibition Centre, Impact Challenger Hall, Impact Forum, and Impact Arena, one of the largest exhibition centers in Southeast Asia. Baker & McKenzie's roles also include advising on the establishment of the REIT Manager company and duties of the trustee.

Travers Smith advises management on the sale of Skrill Group to CVC Capital Partners

A Travers Smith team lead by senior partner Chris Hale and private equity partner James Renahan has advised management on the agreement for sale of online payment services firm Skrill Group (formerly known as Moneybookers) to CVC Capital Partners for €600 million, which is subject to regulatory approvals.

As part of the agreement, Investcorp will keep a minority shareholding in Skrill, as well as retain a seat on the London-based firm's board.

Founded in 2001, Skrill is available in 200 countries and territories, offering 100 local payment options and 40 currencies.

In a subsequent reopening of the notes, the firm represented Morgan Stanley & Co. LLC, as sole underwriter, in AES’s offering of $250 million of its 4.875% Senior Notes due 2023. The proceeds from both offerings were used to fund concurrent tender offers for four series of AES’s outstanding senior notes identified below.
