The Firm represented BofA Merrill Lynch and Morgan Stanley as representatives of the several underwriters in connection with CA, Inc.’s $250 million public offering of its 2.875% Senior Notes due 2018 and $250 million public offering of its 4.500% Senior Notes due 2018.

Shearman & Sterling Advises on The AES Corporation’s $500 Million Senior Notes Offering, Additional $250 Million Senior Notes Offering and Tender Offers for Four Series of Outstanding Senior Notes

Shearman & Sterling represented Morgan Stanley & Co. LLC, as representative of the several underwriters, in connection with The AES Corporation’s offering of $500 million of its 4.875% Senior Notes due 2023. In a subsequent reopening of the notes, the firm represented Morgan Stanley & Co. LLC, as sole underwriter, in AES’s offering of $250 million of its 4.875% Senior Notes due 2023. The proceeds from both offerings were used to fund concurrent tender offers for four series of AES’s outstanding senior notes identified below.

Simpson Thacher Represents the Underwriters in the Initial Public Offering by Fox Factory Holding Corp.

The Firm represented the underwriters, led by Robert W. Baird & Co., William Blair & Company, L.L.C. and Piper Jaffray & Co., in connection with the underwriting of the initial public offering of common stock by Fox Factory Holding Corp. (“Fox”).  The offering of 9,857,143 shares, which includes the shares that were sold pursuant to the option exercised by the underwriters, raised approximately $148 million in aggregate gross proceeds for Fox and the selling stockholders. The shares are now listed on the Nasdaq Global Select under the ticker symbol "FOXF."

Simpson Thacher Represents Underwriters in Senior Convertible Notes Offering by Web.com Group, Inc.

The Firm recently represented Wells Fargo Securities, LLC and Deutsche Bank Securities Inc., as underwriters, in connection with a public offering by Web.com Group, Inc. ("Web.com") of $258,750,000 aggregate principal amount of its 1.00% Senior Convertible Notes due 2018. The offering closed on August 14, 2013.

Web.com is a provider of a full line of internet services for small businesses and is a global domain name registrar.

Successful claim for Co-operative Bank subsidiary

Burges Salmon has advised a subsidiary of the Co-operative Bank on a successful claim against a conveyancing solicitor who failed to report critical information about the structure of a residential property transaction. 

This fully contested trial required expert valuation and lending evidence and legal submissions on the scope of duties owed by solicitors to lenders (and their successors in title) in residential mortgage transactions.

DLA Piper advises on sale of BM Bank in Ukraine

DLA Piper has advised the Bank of Moscow Group with regard to sale of its subsidiary bank in Ukraine, BM Bank to Smart Holding, one of the largest investment groups in Ukraine who focus on key industries of the economy.

Lawyers from both Kyiv and Moscow offices provided full legal support to the transaction, prepared the framework agreement and other documents. The transaction will be closed after obtaining the regulatory permits.
