White & Case Advises Bank Syndicate on Soitec’s €150 Million Convertible and/or Exchangeable Bond Offering

Global law firm White & Case LLP has advised BNP Paribas and Société Générale, as Global Coordinators, and Jefferies as Joint Bookrunner, on Soitec’s offering of bonds convertible into new ordinary shares and/or exchangeable for existing ordinary shares (OCEANE) due 2023 for a nominal amount of approximately €150 million.

Soitec is a world leader in designing and manufacturing innovative semiconductor materials and is listed on Euronext Paris.

White & Case Advises Lenders on Refinancing of New South Wales Wind Farm

Global law firm White & Case LLP has advised MUFG and a syndicate of five lenders on the AUD$210 million refinancing of the Boco Rock Wind Farm, a subsidiary of Electricity Generation plc (EGCO), in New South Wales, Australia.

The financing was underwritten by MUFG and syndicated to Commonwealth Bank of Australia, ICBC, ING, Societe Generale and National Australia Bank.

Renewable energy: Clifford Chance advises Banco Santander and CaixaBank on Uruguay wind farm financing

International law firm Clifford Chance has advised Banco Santander S.A. and CaixaBank S.A. as Mandated Lead Arrangers on the financing of the wind farm project Cerro Grande in Uruguay. The wind farm is being developed by Germany-based wind turbines manufacturer ENERCON GmbH.

Ashurst advises HSH Nordbank on the financing of the acquisition of real estate broker von Poll

Ashurst advised HSH Nordbank on the financing of the acquisition of von Poll Immobilien GmbH and of von Poll Immobilien Beteiligungs- und Verwaltungs GmbH by private equity firm Deutsche Beteiligungs AG (DBAG). The real estate brokerage group, headquartered in Frankfurt am Main, was sold by its founders who will re-invest in the group in the course of the transaction.

The parties have agreed not to disclose the purchase price and the financing volume.

CMS advises Wells Fargo-led syndicate on EUR 1bn loan to Bank of China

International law firm CMS has advised Wells Fargo as lead arranger of a ten bank syndicate on a EUR1.05bn facility for Bank of China, Luxembourg Branch for refinancing existing debt and general corporate purposes. The facility was originally targeted to be EUR 800m but was increased to accommodate the interest of more lenders than anticipated.

Leading global law firm Baker McKenzie advised UBS and the other syndicate banks on the refinancing of Implenia, Switzerland’s leading construction and construction services group headquartered in Dietlikon, Zurich. The financing consists of CHF 800 million credit facilities and was placed with a bank syndicate comprising 18 banks.

Cadwalader advised BNP Paribas and Citibank, N.A. in connection with Castleton Commodities International LLC’s closing of two credit facilities totaling $3.525 billion. The firm advised BNP Paribas, as global coordinator and administrative agent, on a $3.15 billion borrowing base facility and BNP Paribas, as global coordinator, and Citibank, N.A., as administrative agent, on a $375 million unsecured revolving credit facility.

Linklaters advises on the largest ever green bond listing on the London Stock Exchange

Linklaters has advised the London branch of Industrial and Commercial Bank of China (ICBC) on its recent USD$1.58bn issuance of green bonds. The bonds are listed on the International Securities Market (ISM) and green segment of the London Stock Exchange, making it the largest green bond listing ever on the London Stock Exchange. ICBC London Branch is also the first Chinese issuer on the ISM.
