Dentons advises Volkswagen Financial Services on the £2 billion asset backed notes program of Driver UK Master S.A., Compartment 4

Munich—Global law firm Dentons has acted as legal counsel to Volkswagen Financial Services (UK) Limited in relation to a £2 billion program for the issuance of asset backed notes by Driver UK Master S.A., Compartment 4. In this transaction, notes in an aggregate principal amount of £500 million have been issued.

DLA Piper represented Roth Capital Partners, LLC as the lead underwriter in the recently completed US$64.4 million initial public offering of The Lovesac Company (NASDAQ: LOVE). The Lovesac Company is a direct-to-consumer specialty furniture brand with 68 retail showrooms supporting its ecommerce delivery model. Lovesac's name comes from its original Durafoam filled bags called Sacs. Lovesac derives a majority of its current sales from its proprietary platform called Sactionals, a washable, changeable, reconfigurable, and shippable solution for large upholstered seating.

CMS advises LBBW and Stuttgart Stock Exchange on establishing a joint venture for digitisation of promissory note issuance

Stuttgart – Landesbank Baden-Württemberg (LBBW) and Boerse Stuttgart (Stuttgart Stock Exchange) are establishing a joint venture called DEBTVISION GmbH to digitise the issuance of promissory notes. Corporate clients will be able to use the new digital platform to place promissory note loans (Schuldscheindarlehen) themselves without the need for an arranger, and to select from the interested investors.

The dealers under the Programme are HSBC, Lloyds Bank Corporate Markets, NatWest Markets, Société Générale Corporate & Investment Banking and UBS Investment Bank.

ENR team advises on largest ever AIM oil and gas acquisition

International law firm Fieldfisher has advised on the largest acquisition by an oil and gas company completed to date on London's Alternative Investment Market (AIM).

The deal saw AIM-listed Diversified Gas & Oil PLC (DGO), a US-based gas and oil producer, acquire a network of producing assets in the Appalachian Basin, US, covering around 2.5 million acres (10,117km2) containing 11,350 wells, for approximately $575 million.

Trading in Calliditas Therapeutics AB's (Calliditas) started today, 29 June, on Nasdaq Stockholm. The Offering attracted very strong interest from institutional investors as well as the general public in Sweden and was substantially over-subscribed. The price per share was SEK 45, corresponding to a total value of the number of outstanding shares in Calliditas upon completion of the IPO of approximately SEK 1.5 billion.

Baker McKenzie act on $466 million “WAM Global” investment fund float

Baker McKenzie advised Taylor Collison, Morgans Financial, National Australia Bank and Ord Minnett in their roles as joint lead managers for the flotation of the WAM Global listed investment company on the ASX. The Fund successfully raised A$466 million.

Duncan McGrath, partner in Baker McKenzie’s corporate team, acted on the transaction. Duncan said “It was a pleasure to have been involved on another successful flotation of a listed fund.”

Milbank Advises on the US$1B K-sure Backed Trade Loan for Reliance Jio Infocomm Telecoms Project in India

Milbank, Tweed, Hadley & McCloy LLP is advising the lead arrangers and facility agent, Korea Trade Insurance Corporation ("K-sure") and the participating commercial banks with respect to a multi-billion dollar telecom project run by Reliance Jio Infocomm Ltd. to expand India's wireless network.

K-sure has offered a $1 billion trade loan for Reliance Infocomm's project following a $750 million credit facility in 2015. This is due to be the largest Indian loan covered by K-sure, and K-sure's largest global telecom financing.

Global law firm White & Case LLP has advised Amigo Holdings PLC, the leading company in the UK guarantor loan space, on its initial public offering (IPO) on the London Stock Exchange (LSE).

Amigo is to be admitted to the premium listing segment of the Official List and the main market of the LSE. At the agreed offer share price of 275 pence per share, the total market capitalisation of Amigo at the commencement of conditional dealings is approximately £1.3 billion.
