Advising ABN Amro and ING on the financing of the acquisition by Eurocommercial Properties of the Woluwe shopping center

International law firm Simmons & Simmons has advised ABN Amro and ING, initially on the bridge financing, and recently on the mortgage loan, to Eurocommercial Properties for the acquisition of the Woluwe shopping center in Brussels, Belgium.

With financing amounts of around EUR 460m for the bridge financing and around EUR 230m for the mortgage loan, the transactions are significant single asset financing transactions in the Benelux.

Jiangxi Bank Completes US$952 Million Hong Kong IPO

Hong Kong – Paul Hastings, a leading global law firm, announced today that the firm advised Jiangxi Bank on its US$952 million global offering and listing of its H shares on the Hong Kong Stock Exchange. CCB International Capital Limited, CLSA Limited, and AMTD Global Markets Limited acted as the joint global coordinators. Jiangxi Bank is the only provincial city commercial bank in Jiangxi Province, China.

Linklaters advises as University of Cambridge pioneers CPI linkage in £600m bond issue

The University of Cambridge is issuing a pioneering bond linked to the consumer prices index (CPI). The bond is notable as it uses the CPI rather than the retail price index (RPI).

The University is issuing £300m of 50-year index-linked debt referencing the consumer price measure of inflation and £300m of 60-year conventional fixed rate debt.  Linklaters is advising Barclays, HSBC and Morgan Stanley as the banks acting as joint lead managers on the issuance.

A cross-border team from global law firm Norton Rose Fulbright has advised Allianz Global Corporate & Specialty's alternative risk transfer unit, together with its partner Nephila Climate, on a proxy revenue swap for the 98MW Susan River Solar Project and the 78MW Childers Solar Project.

These two transactions were a first of their kind not only in Australia but also in the global energy renewables market.

Addleshaw Goddard advises on the sale of Lombard's offshore asset finance division

Addleshaw Goddard has successfully advised Lombard, the asset finance division of RBS, on the £150m sale of its offshore Channel Islands division to specialist lenders Investec and Shawbrook Bank, by way of portfolio sale.

RBS made the decision to sell its offshore asset finance division in order to comply with upcoming ring-fencing rules, which come into force in 2019, requiring banks to keep their retail operations separate from their operations outside of the European Economic Area, which include operations in the Channel Islands.

Morgan Lewis represented Global Processing Services (GPS), a leading global payments processor, in the £44 million ($58.34 million) funding by UK private equity house Dunedin: the region’s third largest fintech financing in 2018 to date.

The financing was led by Morgan Lewis partners Timothy Corbett and David Ramm with support from associates Angus Young and Neil McKnight.
