WFW advises Velocita on further French onshore wind portfolio divestment

Watson Farley & Williams (“WFW”) has advised Velocita Energy Developments Ltd (“Velocita”) on its disposal of a portfolio comprising three under-construction onshore wind projects in eastern France for a total transaction value of £191.5m to Canada’s Innergex Renewable Energy Inc. (“Innergex”) and Desjardins Group Pension Plan (“Desjardins”).

Simmons & Simmons has, together with Rex Bionics company secretary, Keith Robinson, of Sherrards Solicitors, advised Rex Bionics Plc (the “Company”), the pioneer of the REX Robot technology that enhances the mobility of wheelchair users, on a major restructuring of its group. This has permitted an initial investment of AUD7.5m (approximately £4.4m) and a new development agreement.

Dentons advises Ingenico Group on the acquisition of SST

Kyiv—Dentons’ Kyiv office acted as legal counsel to Ingenico Group, the global leader in seamless payment, on the acquisition of the payment activities business of Bancomzvjazok JSC (BKC) through the purchase of 100 percent of the shares in a newly created legal entity "SST" (Systems of Secure Transactions).

BKC has been a partner and distributor of Ingenico Group in Ukraine since 1997.  The transaction involved the carve-out of BKC’s payment activities business unit to SST.

Jeantet has advised the Spotify group on its acquisition of Niland, a French start-up which has developed a music recommendation tool based on artificial intelligence, from, in particular, its founders and various financial investors.

This acquisition follows the one, completed in 2014, of The Echo Nest, an American start-up also specialised in music recommendations.

Fieldfisher has advised two innovative UK technology start-ups on significant series A and Series B venture capital financing deals totalling approx. £30 million in funding.

The Fieldfisher team, led by Tom Ward (Director, Corporate), advised both companies on their VC financings, supported by corporate solicitor Alex James, with equity incentives and share options advice provided by Mark Gearing (Partner, Equity Incentives).

Pinsent Masons advises IP Group on Australia launch, £266.6 million fundraise and potential £1.3 billion combination with Touchstone Innovations

Pinsent Masons is advising IP Group plc on its launch of IP2IPO Australia and a proposed capital raise of up to £266.6m.

The deal, which will see the FTSE 250 IP commercialisation company work alongside nine leading Australian and New Zealand research universities. Pinsent Masons is also advising IP Group on a potential £1.3 billion combination with AIM quoted Touchstone Innovations.

RPC steps in for Park Place Technologies on acquisition of Prestige

Deal is the second RPC has advised Park Place Technologies on in last 12 months

City law firm RPC has advised multinational Park Place Technologies on the acquisition of West Midlands-based Prestige Systems.

The deal gives Park Place Technologies access to Prestige's IT infrastructure, including Virtualisation, Storage, Break-Fix, Managed Support, and a range of ‘Cloud-based’ solutions.

Roschier advises Nokia in the project resulting in the settlement with Apple

Nokia and Apple announced yesterday that they have settled all litigation related to their intellectual property dispute and agreed on a multi-year patent license.
 
Roschier acted as a trusted advisor for Nokia in the licensing and litigation project involving Apple and advised Nokia in the negotiation of the final agreements resulting in the settlement. Roschier also acted as a local counsel for Nokia in altogether four patent litigations against Apple in Finland and altogether eight patent litigations against Apple in Sweden.

BLP advises Streamwire on its acquisition of EACS

Berwin Leighton Paisner (“BLP”) has advised award-winning managed services provider Streamwire (“Streamwire”) on its purchase of market rival EACS, and subsequent formation of a larger company, trading as EACS. The combined company will have revenues of just under £20m, and is the second large acquisition in the last five years by Streamwire, following the 2015 acquisition of specialist technology business, EvEnt Computer Services.
