Delphi advisor to Comway Distribution A/S in the acquisition of Convena International AB

Delphi has advised Comway Distribution A/S (“Comway”), a Danish IT distributor, on its acquisition of Convena International AB (“Convena”).

Convena is a distributor of IT options, replacement parts and accessories. Convena had a turnover of approximately SEK 300 million in 2016 and has offices in Sweden, the Netherlands and the United Kingdom while Comway Distribution has offices in Denmark and France.

Delphi’s team consisted of Dag Fredlund (responsible partner) and included Leif Ramberg, Marielle Eide and Kristina Lemke

Kyiv, Warsaw, 25 January 2017 – The leading Chinese IT solutions and services provider AUTOMATED SYSTEMS HOLDINGS LIMITED is to merge with the U.S. based Grid Dynamics, Inc.

The Ukrainian and Polish offices of Wolf Theiss, together with the U.S. law firm Morgan Lewis, advised Hong Kong based Automated Systems Holdings Limited (ASL) in the transaction. The parties have signed a merger agreement and plan to close in March 2017.

PLMJ – Law Firm advised Novabase, Sociedade Gestora de Participações Sociais, S.A. on the sale of the business, Novabase Infrastructures & Managed Services to Vince Energies Portugal, SGPS, S.A.

The transaction was completed on 5 January 2017 and involved the sale of Novabase IMS, a leading Portuguese infrastructure services company, and two other commercial companies of the Novabase Group.

Hill Dickinson advises as Origin Broadband secures £3m investment

Hill Dickinson’s corporate team has advised award-winning provider of internet and phone services, Origin Broadband, as it secured £3m investment from private equity fund manager and Enterprise Investment Scheme (EIS) and Venture Capital Trust (VCT) specialist Calculus Capital. 

Hill Dickinson partner Craig Scott and legal director Richard McKay led on the deal.

Google acquires Limes Audio AB

Google has acquired Limes Audio AB.  Limes Audio, with offices in Umeå and Stockholm, builds solutions that remove the distracting noise, distortion and echoes that can affect online video and telephony meetings, improving the overall online conference experience.

Google was represented by Mannheimer Swartling in the transaction.

Bird & Bird advises TomTom on its acquisition of German technology start-up Autonomos

Bird & Bird has advised long-standing client, Netherlands-based navigation and mapping company TomTom N.V. on its acquisition of Autonomos GmbH, to add more autonomous driving technology to its platform. Autonomos is a Berlin technology start-up that has worked in R&D consultancy for various self-driving projects.

Fastighetsnytt Förlags AB is Sweden's leading media and conference company within the real estate and construction sector, with powerful brands and services such as Business Arena, Fastighetsnyt and Fastighetsjobb.

Bonnier is a media group working in TV, daily newspapers, business and trade press, magazines, film, books and digital media.

Luther Luxembourg advises the Altice group on acquiring Intelcia Group

Luxembourg – Luther Luxembourg advised the Altice group in connection with its acquisition of the entire capital of Moroccan company Intelcia Group and its call center subsidiaries in Morocco, France , Cameroon and Senegal.

The deal was cleared by both the Moroccan and French competition authorities.

Luther Luxembourg advised the Altice group from a Luxembourg law perspective in relation to the corporate law and financing aspects of the transaction.
