UK Mail to be acquired by Deutsche Post for approximately £242.7 million

Travers Smith LLP has advised UK Mail Group plc, one of the largest integrated mail and parcel operators within the UK, in relation to the recommended cash offer made by Deutsche Post AG to acquire the entire issued and to be issued ordinary share capital of UK Mail.

UK Mail was founded in 1971 by the current Chairman, Peter Kane, originating as a taxi firm in Harrow and which has now evolved into a national network offering same day courier and overnight parcel delivery both locally and worldwide with more than 50 sites, 2,800 employees and 2,400 vehicles.

Osborne Clarke advises SES-imagotag on the investment in Findbox

International legal practice Osborne Clarke has advised SES-imagotag on the IP and IT-related aspects of the investment in Findbox GmbH. The funding will kick-off a partnership between the two companies to collaborate on R&D efforts, global supply chain capabilities and, ultimately, accelerate the technology start-up’s development.

SES-imagotag, a specialist in digital in-store solutions and world leader in electronic shelf labelling systems, is listed on the Euronext exchange. Over the next three years, SES-imagotag will acquire 100% of Findbox.

BigAir merges with Superloop

Baker & McKenzie advised BigAir Group Limited on its $200 million acquisition by Superloop Limited. The transaction will be implemented by scheme of arrangement.  

The combined group will be a $600 million, ASX listed full service telecommunications and managed services company capable providing customers with end to end voice, data, cloud and managed IT services by utilising its own wireless and fibre optic networks. The combined company will also service Singapore and Hong Kong by leveraging Superloop’s rapidly expanding footprint in those markets.

Orrick French Tech Companies Group Advises Location-Sharing App Zenly on $22.5 Million Series B

Orrick advised location-sharing app Zenly on its $22.5 million Series B financing round. Benchmark led the round — its first investment in a French startup — with participation from other investors that included Jerry Murdock, formerly of Insight Venture Partners, Idinvest Partners and Xavier Niel. In addition to the funding, Peter Fenton of Benchmark has been added to Zenly’s board.

International law firm Taylor Wessing has advised News Corporation and News Corp UK & Ireland on its successful acquisition of talkSPORT owner, Wireless Group plc, for £220.3 million.

Wireless is a media group operating in the UK and Ireland primarily focused on radio broadcasting. The business has valuable media brands that include talkSPORT, the leading sports radio network in the UK, and a wider portfolio of media assets with a significant presence and audience engagement, both digitally and internationally.

Norton Rose Fulbright successfully completes the sale of iconic music business Alberts

Global law firm Norton Rose Fulbright has advised well-known music publishing and recording business Alberts on the sale of its music publishing business to German music company BMG.

The transaction signed in July and has now completed. One of the key closing conditions was agreeing the terms on which the Albert family would retain its stake in the back catalogues of AC/DC and The Easybeats songwriters Harry Vanda, George Young and Stevie Wright.  BMG will administer these assets on behalf of Alberts.

Orrick Advises Teads on Acquisition of Brainient

Orrick’s Paris team recently advised long-time client Teads on its acquisition of Brainient, one of the leading ad-tech companies in Europe.

Teads, founded in 2011, is the inventor of native video advertising and the leading “outstream” video marketplace (video ads that reside outside of video content). Orrick advised Teads on its €24 million financing operation in 2014. We also advised Teads on its earlier merger with Ebuzzing.

Orrick’s Paris Technology Companies Group advised Redbird in its acquisition by Airware, creating an end-to-end enterprise solution for commercial drone operations.

Redbird is a French startup that develops software tools to collect and process data from drones used by the mining and construction industries. Mines, quarries and construction sites use this sophisticated geospatial data to analyze production quantities and pace, efficiency and safety compliance.

Slaughter and May advised Hibu Group Limited and its subsidiaries (hibu) on its successful refinancing and reorganisation of hibu’s capital structure (the Refinancing). The Refinancing normalises hibu’s capital structure following its restructuring in 2014, reflecting its improved financial performance since 2014. The full terms of the Refinancing were proposed to hibu’s members and creditors on 26 July 2016.
