CLIFFORD CHANCE ADVISING INFORMA ON A PROPOSED $1.558 BILLION ACQUISITION OF PENTON BUSINESS MEDIA HOLDINGS

Clifford Chance today announced that a cross-border team of lawyers in New York and London is advising Informa PLC on its acquisition of Penton Business Media Holdings from MidOcean Partners and Wasserstein & Co.

Under terms of the agreement, Informa will acquire Penton for $1.558 billion (£1.18 billion), subject to customary adjustments, with the acquisition to be funded through a combination of both debt and equity, including a fully underwritten £715 million rights issue. The transaction is expected to close before the end of 2016.

William Fry advised Brite:Bill, a Dublin-based billing software company on its acquisition by AmDocs, the Nasdaq-listed software and services provider.

Founded in 2010, Brite:Bill is headquartered in Dublin, and has offices in London, Madrid, San Francisco, Shanghai and Toronto. The company helps service providers, such as utility companies, telcos and banks, present and manage billing communications.

Slaughter and May is advising Reliance Communications on the largest-ever consolidation in the Indian telecom sector

Slaughter and May is advising Reliance Communications (RCOM) on its transaction with Maxis Communications Berhad (MCB) to combine RCOM’s Indian wireless business with Aircel.

The transaction is the largest-ever consolidation in the Indian telecom sector and will create an operator clearly ranked in the top 4 operators in India by customer base and revenues. The merged company will have combined assets of $9.7 billion (INR 65,000 crore) and net worth of $5.2 billion (INR 35,000 crore).

The transaction, which is subject to customary regulatory and other closing conditions, is expected to close in the second half of 2017.

K&L Gates advises Equinix on Acquisition of Paris Data Center from Digital Realty

Paris - Lawyers from the Paris office of global law firm K&L Gates have advised global interconnection and data center company Equinix on the acquisition of Digital Realty's operating business in St. Denis, Paris, including its real estate and data center facility, for approximately EUR €190,000,000.

Equinix will extend its hosting capabilities in the site that currently houses its PA2 and PA3 International Business Exchange data centers.
