7Days Media Services Acquires Three Swiss Companies

Frankfurt - Paul Hastings LLP, a leading global law firm, announced today that it has advised 7Days Media Services, a leading press distribution company and a subsidiary of 7Days Group, on the acquisition of Naville Distribution SA, Dynapress Marketing SA, and Presse-Import SA, from Valora Group.
The three companies are leaders in media services in the B2B sector in Switzerland. With the acquisition, 7Days Media Services continues the overall expansion strategy of 7Days Group in Europe.

Roschier represented TDC A/S in the sale of TDC Sverige AB

Roschier represented TDC A/S in the sale of TDC Sverige AB to Tele2 Sverige AB. Tele2 will pay SEK 2.9 billion to take over TDC Sweden’s local customers, more than 800 employees and managers and the local infrastructure in the Swedish market. The sale of TDC Sweden marks the end of the strategic review which TDC launched in January 2016. With the divestment of the activities in Sweden, TDC will focus its resources on the company’s continued activities in Denmark and Norway. The sale of TDC Sweden is subject to the approval by the European Commission.

Debevoise Advises Reynolds Group in the Issuance of $2.1 Billion Senior Secured Fixed and Floating Rate Notes and $800 Million Senior Notes

The New York and London offices of Debevoise & Plimpton LLP have advised Reynolds Group Holdings Limited (“Reynolds Group”) in the placement of $1.35 billion of 5.125% senior secured notes due 2023, $750 million of senior secured floating rate notes due 2021, and $800 million of 7.000% senior notes due 2024.

On 21 June 2016, Telia Company announced a divestment of the Sergel Group, a group offering credit management and debt purchase services in the Nordic and Baltic countries, to Marginalen AB and Marginalen Bank Bankaktiebolag, for SEK 2,070 million (approximately EUR 222 million) on a cash and debt-free basis.

King & Wood Mallesons has advised China Digital Video Holdings Limited (Stock Code 8280) on its successful listing and initial public offering on the GEM Board of the Hong Kong Stock Exchange valued at approximately HK$278.5 million. KWM acted as PRC, Hong Kong and US counsel on the deal.

Firm Advises MTN Côte d’Ivoire on Raising Debt Equivalent to USD 240m

International law firm Simmons & Simmons has advised MTN Côte d’Ivoire on raising XOF140bn (the equivalent of USD240m) term funding.

MTN Côte d’Ivoire is a subsidiary of South Africa’s MTN Group, a longstanding client of the firm. The seven year loan has been syndicated to ten banks having been co-arranged by Standard Chartered Bank Côte d’Ivoire and EDC Investment Corporation as mandated lead arrangers and bookrunners.

Telia Company divests Sergel to Marginalen

Telia Company  has agreed to divest Sergel Group, its Nordic and Baltic credit management services (CMS) and debt purchase business, to Marginalen AB and Marginalen Bank Bankaktiebolag, for SEK 2,070 million (on a cash and debt free basis).

Sergel has historically been the in-house collection unit of Telia Company but has gradually expanded its strategic focus to also provide CMS and debt purchase services to external customers. Sergel is composed of six subsidiaries with business in Sweden, Finland, Norway, Denmark, Latvia and Lithuania.

Delphi represents Warner Music Group in its acquisition of X5 Music Group AB

Warner Music Group, one of the major US record companies, has acquired X5 Music Group AB. X5 is specialised in licensing catalogues and specific genres of music to create playlists, streaming and download products. X5 will continue to operate as a standalone company under its existing management.
