Alibaba and Ant Financial Announce US$1.25 Billion Investment in Ele.me

Simpson Thacher is representing Alibaba Group Holding Limited (“Alibaba”) and Ant Financial Services Group (“Ant Financial”) in connection with their investments of US$900 million and US$350 million, respectively, in Ele.me, a top online food delivery company in China with a base of 50 million users in 300 Chinese cities. As part of these investments, Ele.me will assume operation of the online food delivery service business of Koubei.com, an O2O e-commerce joint venture between Alibaba and Ant Financial.

Shearman & Sterling Advises Nokia on Its Contemplated Acquisition of Withings

Shearman & Sterling is advising the Finnish technology group Nokia in connection with the contemplated acquisition of Withings, a French pioneer and leader in the connected health revolution.
 
Withings was co-founded by Eric Carreel and Cedric Hutchings in 2008 and is headquartered in France, with approximately 200 employees across its locations in Paris, France, Cambridge, US and Hong Kong. Withings’ portfolio includes activity trackers, weighing scales, thermometers, blood pressure monitors, home and baby monitors.
 

Noerr Patent Group successful for TLI in litigation against Yahoo! (Flickr) and Pinterest Germany

Noerr LLP has successfully represented TLI Communications, a subsidiary of the U.S. patent monetization company Marathon, in two patent proceedings before the Munich Regional Court. The Court has ruled that the services “Flickr” and “Pinterest” as well as the associated apps for smartphones and tablet computers infringe patent EP 814 611 B1. Based on this judgment, Yahoo! and Pinterest Germany are forced to discontinue these services, refrain from selling the apps and are liable for damages.

Eversheds Saladzius advised Iron Mountain on the Acquisition of AB Archyvu centras from its founders. US storage and information management company Iron Mountain has acquired Archyvu Centras, a holding company providing business archiving and records management services through its subsidiaries in the Baltic countries.

The new shareholder will own all companies in the Baltic countries: Lithuania’s Archyvu Sistemos and Confidento, Latvia’s Arhivu Serviss and a branch of Archyvu Sistemos in Estonia.

King & Wood Mallesons advises Apex Technology on its acquisition of Lexmark International

19 April 2016 (Eastern Standard Time), King & Wood Mallesons has advised Apex Technology Co., Ltd. (Apex, SZSE: 002180) on successfully signing a definitive merger agreement with Lexmark International, Inc. (Lexmark), a world renowned printing and software company. Apex led a group of investors including PAG Asia Capital and Legend Capital to acquire 100% of Lexmark with a price of US$40.50 per share on an enterprise value of approximately US$4 billion.

affordable high-voltage components and systems for the entire range of electric vehicles including hybrids, plug-in hybrids and full electric vehicles. Siemens and Valeo will each hold a 50% stake in the joint venture and have joint control.
