Dentons advises Software AG Stiftung on the sale of the shares in Birken AG

The shares of the German based biotech company were sold to the Irish company Amryt Pharmaceuticals

Berlin—Global law firm Dentons advised the charitable foundation Software AG Stiftung, the majority shareholder of biotech company Birken AG, on Birken's share-for-share sale to Irish company Amryt Pharmaceuticals Designated Activity Company.

Slaughter and May, Hong Kong, advised Alibaba Group Holding Limited (Alibaba) in relation to its acquisition, through its subsidiary Alibaba Investment Limited, of the media business of SCMP Group Limited (SCMP), a company listed on the Hong Kong Stock Exchange, for a total consideration of approximately HK$2.06 billion. The acquisition was announced in December 2015 and was subject to (among others) SCMP shareholders’ approval due to its constituting a very substantial disposal by SCMP under the Listing Rules.

Orrick Represents JD.com in Merger of JD Daojia and Dada Nexus

Orrick, Herrington & Sutcliffe represented JD.com, Inc. (“JD”; NASDAQ: JD), the largest online direct sales company in China, on the merger of its O2O business, JD Daojia, and Dada Nexus Limited (“Dada”), China’s largest crowdsourcing delivery platform.

The deal is expected to close in the second quarter of 2016, subject to certain closing conditions. Being the largest shareholder of the new entity, JD.com will receive approximately 47.4% of the new company’s equity in exchange for various resource support and US$200 million in cash.

Norton Rose Fulbright and business law firm Racine have advised Mediawan and its founders on all the legal aspects of the first listing of a special- purpose acquisition company (SPAC) in France.

The SPAC has been incorporated as a société anonyme according to the French law by its three founders: Xavier Niel, founder and main shareholder of Iliad, Matthieu Pigasse, Global Head of M&A and Sovereign Advisory of Lazard Group, and Pierre-Antoine Capton, founder of 3e OEil Productions, the largest French independent media producer.

Norton Rose Fulbright has acted for Blue Sky Group in a student accommodation joint venture with Goldman Sachs.

Our Brisbane-based team negotiated and documented the joint venture arrangement for the acquisition and development of student accommodation sites throughout Australia and New Zealand. The 50/50 joint venture had an initial stage that required Goldman Sachs to contribute sufficient equity to buy a 50 per cent interest in three existing development sites owned by Blue Sky or funds that it managed.
