Advised ASR on the sale of ASR Vastgoed Ontwikkeling N.V. to Meijer Realty Partners (MRP). The sale of real estate development division fits within ASR's strategy to focus on insurance activities and real estate investment management. The transaction is expected to be completed in late April 2016.

Schweizerische Mobiliar to acquire KKR's stake in Scout24 Schweiz and to become new shareholder alongside Ringier

Ringier and Mobiliar have agreed a strategic partnership whereby Mobiliar will become the new joint shareholder in Scout24 Schweiz, the leading network of online marketplaces for motor vehicles, real estate and general classifieds. Mobiliar agreed to acquire a fifty per cent stake in Scout24 Schweiz, previously held by KKR and other shareholders. Ringier will continue to consolidate Scout24 Schweiz and therefore will retain governance rights.

Heuking Kühn Lüer Wojtek advises Süd Beteiligungen portfolio company Stollmann on sale of business to Telit

Heuking Kühn Lüer Wojtek advised Stollmann Entwicklungs- und Vertriebs-GmbH, Hamburg (Stollmann), a portfolio company of Süd Beteiligungen GmbH, on the sale of its business to Telit Communications. Süd Beteiligungen GmbH has been a minority shareholder in Stollmann since 1999.
 
Stollmann is a developer of protocol stacks and products for standardized communications technologies and sells hardware products, software stacks, and reference designs to OEM and ODM customers. The technology focuses on Bluetooth, NFC, ISDN, and Call Manager software.

Hill Dickinson advises as Networks division of Samarind Limited is acquired by Brighter Connections

Hill Dickinson has acted for IT services and software development company Samarind Limited on the disposal of its Networks division to IT infrastructure and services group Brighter Connections.

Hill Dickinson corporate partner Ian Riggs and associate James Down advised Samarind Limited on the transaction with employment advice provided by partner David Parry.

The acquisition is expected to add extra depth and market reach, and will enable the two organisations to service a broader demographic and provide a more complete offer to clients.

Kirkland & Ellis Advised Garena Interactive Holding Limited on Series D Funding Round

Kirkland & Ellis represented Garena Interactive Holding Limited, Greater Southeast Asia’s largest internet and mobile platform company, in connection with its Series D funding round raising US$170 million. The funding round was led by Khazanah Nasional Berhad, the strategic investment fund of the Government of Malaysia. The transaction was announced on March 31, 2016. Anvia Plc : Share swap in which Finda Oy will become a shareholder of Anvia Telecom Ltd and Anvia Plc a shareholder of Finda Oy.

We acted as the advisor to Anvia Plc when it agreed with Finda Oy on a transaction through which Finda Oy will become a shareholder of Anvia Plc’s subsidiary Anvia Telecom Ltd with a 42% holding. In exchange, Finda Oy will direct a share issue to Anvia Plc. After the transaction has been completed, Anvia Plc will own 13% of Finda. The value of the transaction is approximately EUR 50 million. The completion of the transaction is subject to the approval of the Finnish Competition and Consumer Authority and is estimated to take place during the second quarter of 2016.

Nctm Studio Legale advised BT Enìa Telecomunicazioni S.p.A., a company controlled by BT Italia S.p.A., in the purchase of a line of business relating to a telecommunication network extending for approx. 1,500 km in Emilia Romagna belonging to IRETI S.p.A. (a company of the IREN Group engaged in the field of public local grid services), which was advised by Studio Bettini Formigaro Pericu.

Nctm Studio Legale assisted and defended Universal Music Publishing Group (UMPG) in the proceedings brought by a popular singer-­songwriter who requested to establish the term of the assignment, to a publisher, of the right to print musical works, such as scores and songs texts, in the maximum length of 20 years, exactly as provided for by copyright law for literary works.
