Shearman & Sterling advised GMT Communications Partners and fellow shareholders on the sale of Melita Plc to Apax France and Fortino Capital.

Melita is the leading quadruple-play service provider in Malta and one of the first of its kind in Europe. Melita services both residential and business customers, covering 99 percent of Malta's households and dwellings, and has more than 110,000 unique subscribers. EBITDA has grown from €16 million at the date of acquisition to over €31 million at exit.

Airwave Solutions acquired by Motorola Solutions for $1.2 billion

Jones Day advised Guardian Digital Communications Limited, the parent company of Airwave Solutions Ltd., in its acquisition by Motorola Solutions Inc. for $1.2 billion. This acquisition was part of a larger restructuring, including a scheme of arrangement compromising around $3 billion of liabilities in bankruptcy restructuring materials as well.

Prohibition on regional advertising: DLA Piper represents broadcasters before the German Federal Constitutional Court

DLA Piper has lodged a constitutional complaint on behalf of ProSiebenSat.1 TV Deutschland GmbH and SAT.1 Satelliten Fernsehen GmbH with the German Federal Constitutional Court in Karlsruhe. The issue relates to a recent amendment to the regional advertising regulations in the 18th Inter-Länder Treaty on Broadcasting (RÄndStV). Among other aspects, the broadcasters are contesting what they believe to be a violation of broadcasting freedom.

Hogan Lovells and Schoenherr advised U.S.-based Ingram Micro on its acquisition of the Central and Eastern Europe (CEE) division of Russia-based Value Added Distributors RRC Group (RRC) division. The closing of the transaction – which is subject to approval by the relevant competition authorities - is expected to take place in the second quarter of 2016. The parties have agreed not to disclose the purchase price.

Discovery Networks Sweden and Modern Times Group (MTG) Sweden have established a joint venture to combine their regional advertising sales businesses for their respective flagship television channels in Sweden, Kanal 5 and TV3. The new 50:50 JV company, named Airtime Sales, initiated operations on 15 February 2016 as a strong new competitor to TV4, the dominant actor in regional TV advertising in Sweden.

Hannes Snellman acted as counsel to Discovery Networks Sweden, with a team consisting of Richard Åkerman, Bruce McGinn, Peter Issa.

Loyens & Loeff is acting as lead Dutch tax adviser to Liberty Global

Loyens & Loeff is acting as lead Dutch tax adviser to Liberty Global relating to the 50:50 joint venture between Liberty Global Europe Holding B.V. and Vodafone International Holdings B.V. to merge their operating businesses in the Netherlands, including tax structuring, due diligence and transaction documentation.
