Allen & Overy advises Axiata on transformational telco merger in Bangladesh

Allen & Overy is advising Axiata Group Berhad (Axiata), one of Asia’s largest telecommunications companies, on a transformational merger in the Bangladeshi telecommunications industry. The merger will result in the formation of the second largest mobile telecommunications company in Bangladesh, with a customer base of approximately 40 million, and is expected to be completed in the first half of 2016.

White & Case LLP has advised Kontron AG on the launch of a strategic partnership with Ennoconn Corp., a subsidiary of Taiwanese Foxconn Technology Group.

German-listed Kontron is a global leader in embedded computing technology. Ennoconn is a Taiwan-based company engaged in the manufacture and sale of embedded systems and boards. The strategic partnership includes Ennoconn's acquisition of a 49 percent stake in Kontron  subsidiary Kontron Canada Inc. at a price of US$ 57.3 million. The transaction is subject to customary regulatory and corporate approvals.

Bosch, represented by DLA Piper, successfully obtains judgment against Mitsuba on the grounds of patent infringement

On 22 December 2015, the Regional Court of Mannheim upheld a complaint brought by Robert Bosch GmbH for infringement of its European patent EP 1 943 129 B1 against Mitsuba Germany GmbH (2 O 14/15). The patent in suit protects a windshield wiper system with a self-locking device that is active when the wiper drive is in a non-operating state.

The sale comprises three subsidiaries of Mawell Oy: Mawell Finland Oy, Mawell Software Solutions AB and Mawell UK Ltd. After the transaction Mawell will continue to operate as a separate business entity focusing on consulting projects through Mawell Scandinavia AB as well as delivering health counselling and elderly care services in Finland through Mawell Care Oy.

e2v technologies plc ("e2v"), a specialist provider of innovative technology for high performance systems and equipment and listed on the London Stock Exchange, acquires the Linköping-based Signal Processing Devices Sweden AB, a leader in the design and development of high performance analogue-to-digital processing technology for up to USD18 million.

The initial cash purchase price is USD 14 million with an earn-out of up to a further USD 4 million in cash, dependent on revenue growth targets.

YouTube was again successful in its legal dispute with GEMA: On January 28, the Munich court of appeals rejected the damage claim brought by GEMA against
YouTube and thereby confirmed the judgment of the Munich regional court of July 2015. The court of appeals decided that YouTube does not owe copyright fees to GEMA as, under copyright law, the users uploading videos to the platform are responsible for making the videos available to the public. GEMA intends to appeal the decision before the Federal Court of Justice.
