DLA Piper represents NetBase in US$24 million investment

DLA Piper represented NetBase, an enterprise-scale social media analytics company, in a US$24 million investment led by private equity firm Spring Lake Equity Partners and existing investors Thomvest Ventures, Altos Ventures, and WestSummit Capital.

This latest investment will be used to accelerate NetBase’s market position within the core listening and analytics space and will drive its product innovation and global expansion.

The DLA Piper team representing NetBase was led by corporate partner Bradley Gersich (Silicon Valley) and Ian Boardman (Sacramento).

Freshfields advises on US$750m HKBN IPO

Freshfields Bruckhaus Deringer has advised HKBN Ltd. (HKBN) and CVC Capital Partners (CVC) on HKBN’s US$750m IPO on the Hong Kong Stock Exchange.

HKBN is the parent company of Hong Kong Broadband Network Limited, the largest provider of residential fibre broadband services in Hong Kong by number of residential subscriptions. On listing, HKBN had a market capitalisation of approximately US$1.2bn.

Slaughter and May, working as a team with De Brauw Blackstone Westbroek, is advising ITV plc (ITV) on its acquisition of Talpa Media B.V. (Talpa), a fast growing Netherlands based production and distribution company. The joint Slaughter and May and De Brauw Blackstone Westbroek team is led by ITV's in-house legal and commercial teams.

Osborne Clarke advises Wirecard on the takeover of acquiring customer portfolio of Lufthansa AirPlus Servicekarten

Osborne Clarke has advised Wirecard AG on the takeover of the acquiring portfolio of Lufthansa AirPlus Servicekarten GmbH. Wirecard and Lufthansa AirPlus Servicekarten concluded an agreement on the takeover of substantial customer contracts for the credit card acceptance as well as further selected assets, which also includes brokerage agreements and network provider agreements. The purchase price amounts to EUR 13 million plus earn out compounds from 2015 and 2016 which can amount up to EUR 1 million in total.

Gernandt & Danielsson advises Zenterio AB in connection with a capital raising and strategic acquisitions

Gernandt & Danielsson has during the end of 2014 advised Zenterio AB (publ) in connection with an issue of new shares to Swedish and international investors and in connection with Zenterio’s acquisition of Systemagic AB, where part of the payment consisted of new shares in Zenterio. The issues together amount to approximately SEK 80 million. Systemagic develops IPTV-platforms, interactive TV services, Ux and applications such as video, music and advertising.

The Priceline Group in its €1 Billion Registered Senior Debt Offering

Cravath represented The Priceline Group Inc. in connection with its €1 billion registered senior debt offering. The Priceline Group Inc. is a leading provider of online travel and travel-related reservation and search services. The notes were listed on the New York Stock Exchange. The transaction closed on March 3, 2015.

The Cravath team included partners William P. Rogers Jr. and Craig F. Arcella and associate Brendan R. Mahan. Alex M. Dzioba also worked on this matter.

Slovenia: Schoenherr advises Telekom Slovenije on its acquisiton of Debitel

Schoenherr advised Telekom Slovenije, d.d. on its acquisition of Slovenian mobile virtual network operator (MVNO) Debitel telekomunikacije, d.d. (Debitel) from the sellers ACH, d.d., Adria Mobil, d.o.o., and Svema Trade, d.o.o. The deal, which was announced on 27 February 2015, will be concluded after obtaining required merger control approvals. The parties agreed not to disclose further details, including the purchase price amount, until the completion of the transaction.
