Davis Polk advised StoneCo Ltd. on its $1.4 billion initial public offering of 58,333,333 shares of Class A common stock, which includes the full exercise of the underwriters’ option to purchase additional shares. The shares of Class A common stock are listed on the NASDAQ Global Select Market under the symbol “STNE.” In addition, Davis Polk advised StoneCo Ltd. on its $100 million private placement of 4,166,666 shares of Class A common stock to Ant Financial.

Burges Salmon advises Artemis Technologies on Belfast facility for first zero-emissions automated sailing vessel.

Burges Salmon’s team of cleantech lawyers have advised Artemis Technologies on a new facility in Belfast Harbour, which will house the engineering team designing the world’s first zero-emissions automated catamaran. 

Cooley advised digital communications platform SendGrid on its agreement to sell to Twilio in an all-stock transaction valued at approximately $2 billion. The transaction is expected to close in the first half of 2019. Cooley partners Barbara Borden, Michael Platt and Matthew Dubofsky led the team advising SendGrid on the transaction.

Freshfields Bruckhaus Deringer (‘Freshfields’) has advised Airtel on a US$1.25bn investment in Airtel Africa by six leading global investors including Warburg Pincus, Softbank, Temasek and Singtel. The deal is one of Africa’s largest cross-border M&A transactions in 2018.  Airtel is headquartered in India and is the world's third-largest mobile network operator, and its subsidiary Airtel Africa is the second largest telecom operator in Africa, with operations in 14 countries and a customer base of 91 million.

Herbert Smith Freehills’ expert private equity team has advised on a A$15 million capital raise for Nura – an Australian technology company that develops and manufactures headphones that automatically adapt to a listener’s unique hearing.

Schulte advised Noventis, an electronic payments network focused on optimizing payment delivery for bills and invoices to commercial entities, as payments regulatory counsel, in its sale to WEX Inc., a leading provider of corporate payments solutions. The transaction will expand WEX’s corporate payments business while also enhancing Noventis’ offerings to its customers. The transaction was announced on Oct. 22, 2018 and is expected to close the first half of 2019.

Cooley advised MongoDB on its agreement to acquire mLab, a cloud database service. The acquisition is expected to close in November. Cooley partner Steve Tonsfeldt led the team advising MongoDB on the transaction.

According to MongoDB, the acquisition will help deepen its relationships with developer-centric startup communities, a segment with which mLab has been very successful. The combination will also allow it to grow its proprietary automated cloud service, MongoDB Atlas.
