Davis Polk Advises Tencent on Its Investment in LotSynergy

Davis Polk is advising Tencent Holdings Ltd. in connection with its investment in China LotSynergy Holdings Limited. Tencent will subscribe for new shares of LotSynergy at a total consideration of approximately HK$445.5 million. Upon completion of the subscription, Tencent will be granted an option exercisable within 12 months to further subscribe for shares of LotSynergy at a total consideration of approximately HK$226.7 million. The subscription shares together with the shares underlying the options represent approximately 9.9% of the enlarged issued share capital of LotSynergy.

Davis Polk Wins Patent Infringement Case on Behalf of Comcast

Davis Polk represents various subsidiaries of Comcast Corp. in four patent infringement lawsuits against Sprint Communications Co. LP pending in federal courts across the country. On October 15, 2014, after a week-long trial, a jury in the U.S. District Court for the District of Delaware returned an infringement verdict in favor of Comcast and awarded $7.5 million in damages.

Taylor Wessing advises Mailcloud on fundraising

Taylor Wessing has advised Mailcloud, the online platform that allows users to organise their entire history of emails, files and content by person, on its recent fundraising.

The funding, from Octopus Investments, includes investment from Bessemer Venture partners, Kima Ventures, Seedcamp and a number of angel investors, including Skyscanner co-founder Barry Smith, Irish tech entrepreneur Ray Nolan and Daniel Malhery, founder of Deezer.

Simpson Thacher represented the initial purchasers of $1,540 million in aggregate principal amount of Secured Tower Revenue Securities issued by SBA Tower Trust. The Securities were issued in two subclasses, $920 million in principal amount of Series 2014-1C Securities having a Pass-Through Rate of 2.898% and an anticipated maturity of 5 years and $620 million in principal amount of Series 2014-2C Securities having a Pass-Through Rate of 3.869% and an anticipated maturity of 10 years.

Ltd., an indirect wholly-owned subsidiary of Qualcomm Incorporated, which values CSR plc at approximately £1,560 million.

Freshfields Bruckhaus Deringer has advised China Mobile on the formation of a joint venture with Deutsche Telekom that will bring the cutting edge ‘Connected Car’ software platform to the Chinese market.

The joint venture will utilise Deutsche Telekom’s proprietary telematics technology and China Mobile’s high-quality LTE network infrastructure throughout China.

Freshfields advised on the intellectual property licensing aspects of the joint venture, as well as providing strategic advice during the negotiations in its formation.

STAR India and STAR Middle East - successful bid for global audio-visual rights for ICC Events

Slaughter and May advised STAR India and STAR Middle East, wholly owned subsidiaries of Twenty-First Century Fox, in relation to their successful bid for the global audio-visual rights for ICC Events from 2015-2023. Included in the deal are the global audio-visual rights for 18 ICC tournaments including two ICC Cricket World Cups, two ICC Champions Trophy tournaments and two ICC World Twenty20 tournaments. The deal is cricket's biggest-ever global broadcast partnership.

Algar Telecom enters into joint build agreement of new undersea fiber-optic cable project connecting Brazil and U.S.

Jones Day represented Algar Telecom, a Brazilian telecommunications company, in connection with an agreement for the joint construction with Google, Angola Cables and Antel (Uruguay) of a new undersea fiber-optic cable connecting the cities of Santos and Fortaleza in Brazil with Boca Raton, Florida in the United States. TE Connectivity SubCom, is the selected constructor for the project.
