CBS Outdoor Americas acquires premium outdoor advertising business from Van Wagner Communications for $690 million

Jones Day advised CBS Outdoor Americas Inc. ("CBSO") on the cash acquisition of certain outdoor advertising business from Van Wagner Communications, LLC for $690 million. CBSO acquired approximately 1,100 large format billboard displays in 11 top U.S. markets.

Shearman & Sterling Advises Nextech Holdings, a Francisco Partners Portfolio Company, in Acquisition of MDIntelleSYS

Shearman & Sterling is advising Nextech Holdings LLC ("Nextech"), a portfolio company of Francisco Partners, in its acquisition of MDIntelleSYS, LLC ("MDI"). The terms of the transaction were not disclosed.

Nextech is a leading provider of fully integrated electronic medical records, practice management and marketing software solutions for specialty physician practices. Francisco Partners, based in San Francisco, is a leading private equity firm that specializes in investments in technology companies.

The decisions address the allocation of approximately $1 billion in costs associated with remediation of the Lower Fox River in Wisconsin.

Hogan Lovells advised longstanding client 21st Century Fox on a joint venture with Apollo to create a leading global multi-platform content provider, bringing together Endemol, Shine Group, and Core Media.

Under the terms of the agreement, 21st Century Fox and Apollo will jointly manage the newly created group, with each owning 50 per cent. The group’s businesses will have creative operations in over 30 markets, with a diverse portfolio of over 600 formats, both scripted and non-scripted, coupled with digital, gaming, and distribution operations.

UBM to Acquire Advanstar for $972 Million

UBM plc announced that it has entered into a definitive agreement to acquire Paul, Weiss client Advanstar Communications for $972 million in cash. UBM is a U.K.-headquartered communications and events business. Advanstar operates 54 trade shows and over 100 conferences annually, including Magic Marketplace, the largest U.S. fashion trade show. The transaction, which is expected to close by year end, will make UBM the largest events business in the United States.

Bird & Bird advises Gamma Communications plc on its £165 million AIM IPO

Bird & Bird has successfully advised Gamma Communications plc on their initial public offering. The IPO sees the placing of 44,163,374 ordinary shares of 0.25p each at a price of 187 pence per share.  Upon admission, Gamma will have a market capitalisation of £165.2 million with estimated gross placing proceeds of £82.6 million. The placing was underwritten by Investec.

Pinsent Masons supports Telefónica Germany on the E-Plus Merger

Pinsent Masons has supported its longstanding client Telefónica Germany in the successful conclusion of a contract with the mobile service provider Drillisch AG, under which Telefónica transfers part of its mobile network capacity to Drillisch. This transfer was necessary to satisfy EU Commission conditions imposed as part of the merger control procedure for the acquisition of mobile services competitor E-Plus.

Polish Supreme Court denies cassation appeal by telecoms regulator over PLN 8m fine on TP SA (Orange)

At a hearing concerning the decision by the President of the Office of Electronic Communications (UKE) imposing a fine of PLN 8 million on Telekomunikacja Polska SA (now Orange Polska), the Supreme Court of Poland denied the cassation appeal by the telecommunications regulator.

DLA Piper has advised Qualcomm Incorporated on the acquisition of Euvision Technologies.  The acquisition of Euvision, a specialist in image recognition applications powered by artificial intelligence, originally spun out of the University of Amsterdam in the Netherlands in 2009, is one of a series of investments made by San Diego based Qualcomm in the highly sophisticated computer technologies sector across the US and Europe.
