Speechly Bircham advises the Civica Group on the acquisition of Keystone Asset Management Solutions

Speechly Bircham has advised the Civica Group (an investee company of OMERS Private Equity) on its acquisition of CCS IT Limited (trading as Keystone Asset Management Solutions), the specialist software provider.

Keystone, based in Colchester, provides application software and related services predominantly for the UK social housing sector. Its integrated product suite is used by its customers to ensure the efficient and effective administration of housing stock including management, planned maintenance, inspections and component accounting.

Stephenson Harwood LLP advises on two AIM reverse takeovers

Stephenson Harwood LLP has advised on the two recent reverse takeovers of Feedback plc ("Feedback") and Rex Bionics Plc ("Rex Bionics").

Stephenson Harwood advised new client, Feedback on the acquisitions of Cambridge Computed Imaging Limited and TexRAD Limited (both medical imaging software companies) for a mixture of cash and share consideration. Feedback also raised new funds through a subscription for new ordinary shares. The transactions completed and the new shares were admitted to trading on AIM on 19 May 2014.

DLA Piper advises on investment by Equistone

DLA Piper has advised shareholders from two of four separate entities on the equity investment by Equistone Partners Europe Limited to establish a new company, Performance Interactive Alliance for Digital Marketing GmbH. DLA Piper acted on behalf of econda and DeLaSocial, while Performance Media was represented by Luther Rechtsanwaltsgesellschaft mbH, and Blue Summit Media by Hoffmann Böttcher Rechtsanwaltsgesellschaft mbH . Pöllath + Partners advised Equistone.

Swedish telecom operator TeliaSonera invests in audio fashion house Zound Industries

Eversheds advised on TeliaSonera acquisition of a stake in Zound Industries, enabling the telecom operator to bundle fashion headphones, audio speakers and device accessories together with their mobile telecommunications.

The partnership will give TeliaSonera access to all four of Zound Industries’ brands and also access to their network of designers, collaboration partners and artists. Accessories from Zound Industries are today sold in 20,000 stores across 95 markets.

Herbert Smith Freehills advises Omer Telecom on Numericable's €325 million offer for Virgin Mobile France

Herbert Smith Freehills has advised the shareholders of Omer Telecom Ltd (parent company of Omea Telecom SAS which operates Virgin Mobile in France):  Carphone Warehouse, Virgin and Financom (holding company of Geoffroy Roux de Bézieux, CEO of Omer Telecom Ltd), on the offer for  100% of the French mobile group Virgin Mobile France, made by Altice's subsidiary, Numericable Group, for an enterprise value of €325m.

CMS advise Halma in acquisition of Advanced Electronics

CMS has advised FTSE 200 company, Halma,  in relation to its acquisition of Advanced Electronics Limited, a manufacturer of networked fire detection and control systems.

Halma, the market leader in specialist safety, health and environmental technologies, has bought Advanced Electronics Limited for an initial cash payment of GBP14.1 million and deferred payments of up to GBP10.1 million depending on earnings growth up to March 2015.

Clifford Chance advises i:FAO on takeover offer from Amadeus Group

Clifford Chance has advised i:FAO AG, Frankfurt am Main, on the voluntary public takeover offer by a company of the Amadeus Group, Madrid.
The Chief Executive Officer and largest shareholder of i:FAO as well as further major shareholders have agreed to tender their shares. Amadeus thus has ensured acceptance of the offer by 68.5 percent of i:FAO's share capital. The acquisition is subject to approval by the antitrust authorities.
