Allen & Overy advises on dual currency bond offering by Bharti Airtel International (Netherlands) B.V.

Allen & Overy has advised Bharti Airtel International (Netherlands) B.V. as issuer and Bharti Airtel Limited as guarantor on Bharti Airtel International (Netherlands) B.V.’s first dual currency international bond issue under Rule 144A/Regulation S which raised approximately USD2 billion.

The issue involved simultaneous notes offerings of USD1bn and EUR750m. The proceeds will be used by the issuer for the repayment and refinancing of existing foreign currency debt.

Eversheds has advised the sellers of Dutch aircraft fleet management company, AerData Group, on their sale of the group to Boeing. Based in the Netherlands, AerData provides integrated software solutions for lease management, fleet planning and technical services for aircraft and engine operators, lessors, and maintenance, repair and overhaul companies.

AerData has approximately 120 employees across the Netherlands, UK and Ireland. Managing directors, Mark Nieuwendijk and Paul van Tol, will continue to lead the business under Boeing’s ownership.

Advising Anite plc On The £45m Sale Of Its Travel Business

Simmons & Simmons has advised longstanding client Anite plc on the sale of Anite Travel Limited, for a total cash consideration of £45m to LDC, the UK mid-market private equity house.

LDC will acquire the entire share capital of Anite Travel Limited from Anite plc. The cash consideration is subject to customary completion adjustments and £1.7m will be held in escrow at completion. The disposal reflects Anite plc’s stated strategy to focus on its wireless test solutions business.

Olswang acts on Autodata Publishing Group sale

Olswang advised the shareholders of Autodata Publishing Group Limited, Europe's leading provider of technical information to the automotive aftermarket, on the buy-out of the company by mid-market private equity firm Bowmark Capital and Five Arrows Principal Investments, the private equity fund of the Rothschild Group, following a highly competitive auction process.

In addition to acting for the shareholders of Autodata on the sale, Olswang also advised the management team on their equity investment in the acquisition vehicle.

The Firm represented Seagate Technology plc (“Seagate”) in connection with its Rule 144A and Regulation S offering of $1 billion aggregate principal amount of 4.75% Senior Notes due 2025. The notes were issued by Seagate HDD Cayman, a wholly owned subsidiary of Seagate, and guaranteed by Seagate. Morgan Stanley acted as joint-lead and sole bookrunning manager of the offering.

Speechly Bircham advise Marimedia Limited on its AIM flotation

Speechly Bircham have advised Marimedia, an Israeli online media company, on its AIM flotation. Dealings in its shares on AIM commenced on Wednesday 28 May 2014. Marimedia operates in the fast-growing digital media market and optimises online advertising revenue for website owners globally.

Upon admission to AIM, the company will have a market capitalisation of £95 million and will have raised c.£30 million of new money for the company and selling shareholders.

Sheffield Telecoms Business Bought Out By Darwin Private Equity

Fast-growing Yorkshire based telecommunications provider, ASK4, has been acquired by Darwin Private Equity in a multi-million pound deal. ASK4 specialises in providing WiFi, broadband and IPTV services to student accommodation buildings as well as private residential developments and serviced offices. The business was founded by Jonathan Burrows in 2000, employs more than 100 staff and in 2013 recorded turnover of £10.2m.

(T-Mobile) in connection with a consolidated, multidistrict litigation in the U.S. District Court for the Northern District of Illinois alleging that four wireless carriers (T-Mobile, AT&T, Sprint and Verizon), along with the industry trade association, fixed per-use text messaging rates. The plaintiffs represent a class of over 100 million U.S. consumers, and seek several billion dollars in damages.
