Graham Holdings Company and Berkshire Hathaway's Agreement in Principle for Berkshire Hathaway's Acquisition of WPLG-TV

Graham Holdings Company and Berkshire Hathaway Inc. announced that they have reached an agreement in principle for Berkshire Hathaway to acquire a wholly owned subsidiary of Graham Holdings Company (which will include WPLG, a Miami-based television station, a number of Berkshire Hathaway shares currently held by Graham Holdings Company and an amount of cash) in exchange for approximately 1.6 million shares of Graham Holdings Class B common stock currently owned by Berkshire Hathaway and its subsidiaries.

Intellectual Property team secures consequential inter partes review ruling from US Patent and Trademark Office

Dentons' Silicon Valley Intellectual Property and Technology principal Lissi Mojica and counsel Kevin Greenleaf successfully secured a favorable ruling on behalf of client Amkor Technology Inc., persuading the US Patent and Trademark Office (USPTO)’s Patent Trial and Appeal Board to deny  the opposing party’s motion to terminate an inter partes review. The ruling allows the review, as initiated by Amkor, to proceed and has significant implications for other inter partes filings before the USPTO.

Davis Polk Advises Tencent on Its Strategic Partnership with JD.com

Davis Polk is advising Tencent Holdings Ltd. in connection with its strategic business partnership with JD.com. Tencent is subscribing to new shares representing an approximately 15% stake in JD and will also subscribe to an additional 5% at IPO price after JD completes an IPO. JD will acquire 100% interests in Tencent’s online marketplace businesses, including QQ Wanggou B2C and PaiPai C2C, its logistics personnel and assets, and will also acquire a minority stake in Yixun, with a right to acquire the remaining stake of Yixun in the future.

Rogers Communications Inc.'s Registered Senior Debt Offering

Cravath represented Rogers Communications Inc. in connection with its US$750.0 million registered senior debt offering. Rogers Communications Inc. is Canada’s largest provider of wireless voice and data communications services and one of Canada’s leading providers of cable television, high-speed internet and telephony services. The transaction closed on March 10, 2014.

The Cravath team included partners Joseph D. Zavaglia and Erik R. Tavzel.

CR secure trial win for client BSkyB

Charles Russell's Media Litigation team has successfully acted for BSkyB in a claim for misuse of confidential information. After a trial lasting a week in February 2014, Mr Justice Birss today gave judgment in favour of CR client BSkyB, dismissing a claim that confidential information had been misused in developing music competition show "Must Be The Music" (screened on Sky One in August and September 2010).
