Taylor Wessing advises Eagle Eye Solutions Group plc on prospective AIM IPO and acquisition of 2ergo Limited

Taylor Wessing is advising Eagle Eye Solutions Group plc on its proposed flotation on the AIM market of the London Stock Exchange, as well as its acquisition of 2ergo Limited.

Eagle Eye Solutions Group plc announced its intention to IPO on AIM this morning (21 March), hoping to raise approximately £6 million. The company simultaneously announced the conditional acquisition of 2ergo Limited, a business that specialises in digital payment technology solutions.

DLA Piper represents Paylocity in initial public offering

DLA Piper advised Paylocity Holding Corporation in its initial public offering valued at approximately US$100 million. Founded in 1997, the Arlington Heights, Illinois-based company provides cloud-based payroll and human capital management software to medium-sized businesses.

DLA Piper’s team representing Paylocity was led by partner John J. Gilluly III and also included associates Anna Denton and Joseph Fore.

Weil Secures Favorable Summary Judgment Ruling for Plaintiffs in Performance Rights Antitrust Class Action

Weil secured a substantial victory on behalf of a group of Hoak, Meredith, and Scripps local television stations ensuring that they will get to present their antitrust claims to a jury challenging the licensing practices of SESAC, one of three performance rights organizations (PROs) in the United States. The other two PROs, ASCAP and BMI, are subject to consent decrees with the Antitrust Division of the U.S. Department of Justice.

DLA Piper advises Vodafone on €7.2bn acquisition of Ono

DLA Piper has advised Vodafone Holdings Europe S.L.U. (Vodafone) on its acquisition of Spanish cable company Grupo Corporativo Ono, S.A. (Ono) for €7.2 billion on a debt and cash free basis.

Ono has the largest next-generation network in Spain with approximately 7.2 million homes released to marketing serving 1.9 million customers in 13 of Spain’s 17 regions. It is the market leader in high speed broadband, offering superior speeds and the most innovative pay-TV service in Spain. The network has abundant spare capacity and a future-proof fibre architecture.

Simpson Thacher Represents Catalina Marketing Corporation in its Sale to Berkshire Partners

Simpson Thacher is representing Catalina Marketing Corporation and its controlling shareholders, investment funds affiliated with Hellman & Friedman LLC, in connection with the announced agreement whereby investment fund affiliates of Berkshire Partners LLC will acquire Catalina.  In connection with the transaction, investment funds affiliated with Hellman & Friedman will retain a minority stake in Catalina.  The transaction is subject to customary closing conditions, including receipt of regulatory approvals.

Davis Polk Advises Texas Instruments on $500 Million Notes Offering

Davis Polk advised Texas Instruments Incorporated on its SEC-registered debt offering of $500 million aggregate principal amount of notes consisting of 0.875% notes due 2017 and 2.750% notes due 2021. The offering was made through an underwriting syndicate led by Citigroup Global Markets Inc., Merrill Lynch, Pierce, Fenner & Smith Incorporated and Mizuho Securities USA Inc.

DLA Piper advised Coupons.com Incorporated in its initial public offering on the New York Stock Exchange.

Coupons.com, a leader in digital coupons, operates a platform that connects brands and retailers with consumers through Web, mobile and social channels. Over 2,000 brands from more than 700 consumer packaged goods companies and many of the leading grocery, drug and mass merchandise retailers, use the company's platform to reach consumers.

This transaction represents "Silicon Valley's first pure-tech IPO of 2014," according to the San Jose Mercury News.
