Norton Rose advises Future plc on the sale of its Music Listening Business

Leading international law practice, Norton Rose has advised Future plc on the sale of its music listening business for £10.2 million to Team Rock Limited (a Company controlled by Harwood Private Equity).

Future plc is listed on the London Stock Exchange and is a leading publisher of specialist interest magazine titles. The titles being sold include the market leading guitar rock titles “Classic Rock”, “Metal Hammer” and the leading rock award “Golden Gods”.

Lagardère - sale of its entire stake in EADS by private placement

Slaughter and May, working as an integrated team with Bredin Prat and Cravath, Swaine & Moore LLP, advised Lagardère, a French world-class pure-play media group, on the sale of its entire stake in EADS for approximately EUR 2.28 billion.

The sale by Lagardère, representing approximately 7.4% of the share capital of EADS, was by way of a private placement conducted through an accelerated book build process.

Hogan Lovells is proud to announce that it secured antitrust clearance from the United States Department of Justice (DOJ) for client Arris’ proposed US$2.35 billion purchase of Google Inc.'s Motorola Home unit. With this final approval, the communications technology company has received all of the necessary regulatory authorizations surrounding the purchase. The acquisition is expected to close later this week.

Travers Smith private equity partners Paul Dolman and Ian Shawyer are advising Hellman & Friedman owned Web Reservations International, owners of the HostelWorld.com and Hostels.com brands, on the acquisition of HostelBookers.com.

The all paper deal will require regulatory clearance before it can complete.

WRI provides technology, distribution and marketing solutions to accommodation and other travel suppliers worldwide through a network of own site and affiliate partners.

DLA Piper advises Sopra Group on the acquisition of HR Access

Our Paris office advised Sopra Group (NYSE Euronext: SOP) on the acquisition of HR Access, in close cooperation with the Amsterdam office. HR Access has been advised by McDermott Will & Emery (Paris and New York) and Loyens & Loeff (Amsterdam).

Sopra Group is involved in creating and advising Human Resources Management-solutions. This acquisition is in line with Sopra's 2015 strategy, which aims to solidify its position in the human resources management segment.

Olswang advises Euromoney Institutional Investor PLC on the agreement to acquire HSBC's Quantitative Techniques operation

Olswang has acted for Euromoney Institutional Investor PLC, one of Europe's largest business and financial magazine publishers, on the agreement to acquire HSBC's Quantitative Techniques (QT) operation. QT is the calculation agent business of HSBC Bank PLC and creates and maintains more than 100 equity and bond indices for HSBC's Global Markets division and 60 other external clients.

Freshfields advises SES on its $1bn debut Yankee bond

International law firm Freshfields Bruckhaus Deringer has advised leading global satellite operator SES on its debut $1bn Yankee bond. Consisting of $750m 3.6% notes due 2023 and $250m 5.3% notes due 2043, the transaction is reflective of strong activity levels in the Capital Markets, Freshfields itself having advised on eight deals*, with a combined value of almost US$6.3bn, in the last three weeks alone.

Eversheds assisted IP-Only Telecommunication AB in relation to a share issue

Eversheds has assisted IP-Only Telecommunication AB in relation to a pre-emptive share issue aiming at repaying the company’s convertible debt to its convertible holders.

In total, 183,936,020 new shares have been issued, of which 1,862,450 have been paid in cash, meaning that the company has received SEK 1,862,450 as working capital. The share issue was registered with the Swedish Companies Registration Office on 2 April 2013.
