Orrick Counsels GFT Technologies on V-NEO Acquisition

Orrick has advised German-based tech provider GFT Technologies SE (ETR: GFT) on its entry into the Canadian insurance market. The company has acquired V-NEO Inc., a Québec City-based provider of integrated IT solutions for the insurance industry. Through the acquisition, GFT will expand its market position in North America and gain a new site in Belgium.

Financial terms were not disclosed. The transaction is expected to close in Q3 2018.

Paris Team Advises EOS Group in 101.4MW Wind Portfolio Refinancing

Our Paris team advised EOS Group in refinancing its wind portfolio in France, encompassing nine operating wind farms with a total installed capacity of 101.4 MW. To accomplish this, our team helped refinance existing bank debt and restructure the ownership structure of the SPVs.

Orrick has been advising EOS group for several years, including the company's acquisition and financing of wind and solar assets throughout Europe.

IPO and ASX listing of RMA Global raises $12 million

MinterEllison has advised RMA Global Limited (RMA) on its listing on the ASX and the initial public offering (IPO) of its shares to raise approximately A$12 million.

One of the first online agent rating sites to launch in Australia, RMA is an online digital marketing business which provides data on real estate agents, their active residential property listings and sale results.

The data from RMA’s platform can be used by agents to build their brand and market themselves, or by vendors to compare agents and find an agent or agency to sell their property.

Ashurst advises SAP on the acquisition of Coresystems FSM AG

International law firm Ashurst and Swiss law firm Meyerlustenberger Lachenal AG advised software company SAP SE (SAP), based in Walldorf, Germany, on the acquisition of Coresystems FSM AG (Coresystems FSM), a Switzerland headquartered leading provider of mobile and cloud-based software solutions in the segments of field service management and workforce management. Coresystems FSM has branches in Berlin, Fribourg, London, Miami, Munich, Sao Paulo and Shanghai.

Allen & Overy advises VEON on sale of its 50% stake in Wind Tre to CK Hutchison

Allen & Overy has advised leading global provider of connectivity and internet services VEON on its agreement with CK Hutchison Holding Ltd. (“CK Hutchison”) for the sale of VEON’s 50% stake in Wind Tre to CK Hutchison for a total cash consideration of EUR2.45 billion. On completion of the transaction, expected in the autumn of 2018, CK Hutchison will own and control 100% of Wind Tre.

Körber Group Completes Sale of United Grinding Group

Leading global law firm Baker McKenzie has advised the international technology group Körber AG in the sale of United Grinding Group, Körber's Business Area Machine Tools. Following the approval of the relevant supervisory authorities, the transaction has been closed with effect from the end of June 29, 2018. The new ownership structure consists of a strategically oriented pool of investors organized by the Swiss BZ Bank Aktiengesellschaft.

Orrick Advised Augmented Reality Startup RE'FLEKT on CVC Investment by BASF Venture Capital

Orrick advised augmented reality startup RE’FLEKT on a €3.75 million corporate venture capital investment by BASF Venture Capital, the venture capital business unit of BASF Group.

BASF will be the lead investor in the Series A financing round initiated by this investment. This marks the second corporate venture capital investment in RE’FLEKT by a leading Germany industrial corporate, after the 2015 investment from Robert Bosch GmbH.

Dentons advises Kino Polska TV on its acquisition of a stake in Stopklatka

Warsaw--Dentons has advised Kino Polska TV S.A. in a deal to acquire 41 percent of shares in Stopklatka S.A., the NewConnect-listed company operating the Stopklatka TV film channel. This acquisition makes Kino Polska TV the majority stakeholder.

Kino Polska TV S.A. is a media group airing and producing television content and is also engaged in distribution, publishing, producing and archiving Polish films, among other things. The company produces and distributes the Telewizja Kino Polska film channel.
