Eversheds Sutherland has advised Brady

Eversheds Sutherland has assisted Brady Sweden Holding AB in connection with the disposal of Runelandhs Försäljnings AB to Gerdmans Inredningar AB, a company within the TAKKT Group.

Runelandhs was founded in 1992 and sells interior products and equipment for offices, warehouses and industries.

Eversheds Sutherland´s lead team included Ulrika Sparrman and Dane Stattin.

Charles Russell Speechlys advise Transense Technologies Plc on placing and share capital reorganisation

Charles Russell Speechlys has advised long-standing client, Transense Technologies Plc, on a placing of 2,500,000 new ordinary shares at 40 pence per share to raise £1m, together with an associated share capital reorganisation. The special resolution to approve the share capital reorganisation, and to grant the directors sufficient share issuance authority to complete the placing, was passed at the company’s general meeting held on 21 June 2018.

Gide on the first issuance of bonds by QUARTUS under a EuroPP format

Gide has acted as deal counsel in connection with the first issuance of bonds by QUARTUS, under a EuroPP format, for a total amount of EUR 75 million due in 2022.

The issuance, distributed to European institutional investors and private managers by Invest Securities, will enable the company to diversify its financial partners and to pursue its development plan.

Gide’s team was led by partner Hubert du Vignaux, with counsel Laurent Vincent and associate Mariléna Gryparis.

Invest Corporate Finance acted as financial adviser.

Sidley Advises on Transmit Entertainment’s VIE Agreements

Sidley is advising Transmit Entertainment Limited (SEHK:1326) (Transmit Entertainment) on its VIE agreements announced on May 27, 2018. In this transaction, Guangzhou Huohua Investment Company Limited (Guangzhou Huohua), a wholly-owned subsidiary of Transmit Entertainment, entered into VIE agreements with Khorgas Houhai Culture Media Company Limited (Khorgas Houhai), the P.R.C. Special Purpose Vehicle (SPV) and the ultimate shareholders of the SPV. The cash consideration of the transaction is RMB450 million.

Orrick Advises French Tech Leader UnitySC on Acquisition of German Optical Inspection Systems Expert HSEB Dresden

Orrick advised French technology leader UnitySC, a Fogale Nanotech subsidiary, on its acquisition of 100% of the shares in German optical inspection systems expert HSEB Dresden GmbH.

Following the acquisition, the group's extended line of leading-edge process control solutions will provide a unique and essential inspection and metrology capability to semiconductor manufacturers. Together, the group's offerings span substrate, front-end-of-line (FEOL) manufacturing, wafer-level packaging, 3D ICs and power semiconductors.

Sidley Advises edotco on Partnership with Getco in Bangladesh

Sidley has advised edotco Group (edotco) on its strategic partnership with Bangladesh-based conglomerate Getco. Getco, through its subsidiary Greencon Tower Company Ltd., becomes a 30 percent shareholder and strategic partner with edotco in Bangladesh and, together, will apply for a tower sharing license as part of a wider plan to provide next-generation telecommunications infrastructure to meet Bangladesh’s growing connectivity needs.

As part of the merger, Vermögensverwaltungsgesellschaft Hautau GmbH & Co. KG sold 75 percent of the shares in Hautau GmbH to Mayer & Co group and continues to hold a 25 percent interest in Hautau. With the partnership, both family-owned companies are expanding their program allowing them to serve their customers even better in the future. Management and contacts for customers of both companies will remain unchanged. It is also planned to keep the companies’ independent market presence.

WFW advises CCNST on Infracapital investment

Watson Farley & Williams (“WFW“) has advised CCNST-Group (“CCNST”), a leading provider of broadband services in Bavaria, on securing a strong financial investment from UK-based Infracapital. Among the group’s companies is broadband business amplus AG, founded in 2009 and a well-known network provider in Bavaria today. The parties have agreed not to disclose further details of the transaction, which is expected to close this month. WFW also advised CCNST on their recent restructuring.
