oOh!media acquires Adshel for $570m

MinterEllison has advised oOh!media Limited (ASX: OML) on its A$570 million acquisition of Adshel from HT&E Limited (HT&E), and OML's associated capital raising.

One of Australia's largest out-of-home media companies, OML provides advertisers with access to a diverse range of audiences across Australia and New Zealand via a portfolio of classic and digital signs across roadside, retail, airport and place-based media.

ReachLocal GmbH is part of the international ReachLocal Group having more than 1300 employees at 65 locations around the world. RegioHelden GmbH belongs to the international media group of the listed Ströer SE & Co. KGaA and has more than 250 employees at 9 locations in Germany.

Taylor Wessing advises MWR InfoSecurity on its £105m sale to F-Secure

International law firm Taylor Wessing has advised MWR InfoSecurity, a privately held global cyber security company, operating globally from its main offices in the UK, the US, South Africa and Singapore, on its sale to F-Secure for a maximum enterprise value of £105 million.

With the acquisition of all outstanding shares of MWR InfoSecurity, this sale now makes F-Secure Europe's largest single source of cyber security services, detection and response solutions.

DLA Piper secures victory for Transatel SA in landmark telecoms dispute

DLA Piper has secured a victory for the French telecommunications service provider, Transatel SA, in a dispute under telecommunications law before the Federal Network Agency (BNetzA). In this landmark procedure, the BNetzA ordered the German mobile network operator, Telefónica Germany GmbH & Co. OHG, to submit a draft agreement regarding access to regulated wholesale roaming services to Transatel.

Travers Smith LLP has advised existing client Auto Trader Group plc, the digital automotive classified advertising business, on its £400 million refinancing with debt finance provided by a syndicate of lenders.

Listed on the London Stock Exchange since 2015 and a member of the FTSE 250 Index, Auto Trader is the UK's largest digital automotive marketplace, with more than 450,000 cars listed each day.

DWF advises Capita on £160m sale of Supplier Assessment Services

The Scottish corporate team of international legal business DWF has advised Capita plc on the sale of Supplier Assessment Services, including its Construction line operation, for £160 million.

The business, which has been bought by funds affiliated with global private equity fund Warburg Pincus, had underlying revenue of £14m and operating profit of £6m last year, with assets valued at £26m.

SKY Italia Wins Again Against MediaPro

Cleary Gottlieb represented SKY Italia S.r.l. in the confirmation of the earlier suspension of MediaPro Italia S.r.l.’s sale of Serie A soccer audiovisual rights.

By order issued on June 11, 2018, the Milan Tribunal rejected the appeal (reclamo) filed by MediaPro against the decision rendered by the same Tribunal, which had granted the petition filed by SKY and suspended the tender procedure dated April 6, 2018, for the assignment of Serie A rights.
