New partner starts off strong advising on sale of Zeetings to Canva

After it was announced that she will become a Herbert Smith Freehills partner on 1 May 2018, Malika Chandrasegaran is off to a flying start advising cloud based presentation start-up, Zeetings on its sale to tech unicorn Canva.

The deal marks Canva’s first acquisition and will allow the company to expand its capabilities in the presentation space. As part of the deal, Zeetings CEO and co-founder Rob Kawalsky and other members of the team will be joining Canva.

GDS Holdings Limited Completes US$328.9 Million Follow-On Offering

Simpson Thacher represented GDS Holdings Limited (“GDS”) in connection with its follow-on offering of 12,650,000 American Depositary Shares (ADSs), comprising 8,225,000 ADSs offered and sold by GDS and 4,425,000 ADSs offered and sold by certain selling shareholder entities affiliated with SBCVC Holdings Limited (“SBCVC”), representing an aggregate of 101,200,000 Class A ordinary shares.

Davis Polk Advises Comcast on Its £22 Billion Cash Offer for Sky

Davis Polk is advising Comcast Corporation in connection with its £22 billion ($30 billion) pre-conditional cash offer to acquire the entire share capital of Sky plc. Under the terms of Comcast’s offer, the key terms of which were announced in a possible offer announcement on February 27 2018, Sky shareholders will receive £12.50 in cash for each share. The offer, intended to be implemented as a tender offer with a 50% plus one share acceptance condition, is subject to regulatory and antitrust approvals and other customary conditions.

Osborne Clarke advises BookingBug on its $13.4 million Series C funding round

International legal practice Osborne Clarke has advised BookingBug Limited, a leading appointment and scheduling platform, on its $13.4 million Series C fundraising round from PeakSpan Capital and Downing Ventures.

This funding round saw BookingBug’s first investment from a US fund. The new capital will be used to build on the business’ rapid growth – BookingBug was recognised by Deloitte as one of Europe’s fastest growing technology companies in 2017 (Fast 500 EMEA).

BEITEN BURKHARDT has advised the shareholders of the Bulgarian stock corporation MM Solutions AD on the sale of all shares to AchieveSky Europe S.à r.l. The transaction was closed in March 2018.

MM Solutions AD is an internationally operating software developer, based in Sofia, Bulgaria, which is leading in the field of image and video processing for tablets, e-books and smartphones.

The buyer, AchieveSky Europe S.à r.l., is a subsidiary of the listed Chinese software developer Thunder Software Technology Co. Ltd based in Beijing.

Clifford Chance advises CMI on the acquisition of Lagardère's radio assets across the CEE region

Clifford Chance is advising Czech Media Invest (CMI), a leading media group, on the acquisition of the regional radio assets of multinational media conglomerate Lagardère Group. The transaction, valued at €73 million on a consolidated revenue of around €56 million in 2017, includes popular, mainstream radio stations in the Czech Republic, Poland, Romania and Slovakia. The closing of the transaction is subject to competition clearance from the local regulatory authorities in the countries concerned.

Acting for PAO VimpelCom, Bryan Cave Leighton Paisner (Russia) LLP has triumphed in the first instance, appeal and cassation arbitrazh (commercial) courts in a dispute between mobile operators and the Federal Antimonopoly Service of Russia (FAS) over changes to B2B SMS service tariffs.

The Bryan Cave Leighton Paisner (Russia) LLP team was led by Partner and Head of Antitrust and Competition Nikolay Voznesenskiy. The project task force included Antitrust and Competition Associates Anna Bakhaeva and Alexander Biryukov and Partner Vitaly Dianov.

Osborne Clarke advises Community Fibre on £25M financing round led by NDIF

Osborne Clarke has advised Community Fibre, the ultra-fast full-fibre Internet Service Provider, on a £25 million new financing round led by the National Digital Infrastructure Fund (NDIF) to rollout full-fibre connectivity to a further 100,000 homes by 2019, covering social and private housing estates across London. A follow-on investment will be made by leading long-term institutional investor, RPMI Railpen.
