Davis Polk Advises Tencent and Tencent Music Entertainment in Connection with Transactions with Spotify

Davis Polk advised Tencent and Tencent Music Entertainment in connection with their equity investments with Spotify. TME and Spotify will acquire new shares representing minority equity stakes in each other for cash. In addition, Tencent will invest in Spotify through secondary purchases. Following these transactions, Spotify will hold a minority stake in TME, and both Tencent and TME will hold minority stakes in Spotify.

Osborne Clarke advises Mirriad Advertising on £63.2 AIM market IPO

International legal practice Osborne Clarke has advised Mirriad Advertising plc,  a global technology company and developer of native in-video advertising, on its successful AIM market IPO.  Following admission, Mirriad will have a market capitalisation of approximately £63.2 million.

As part of the IPO process, joint bookrunners Numis Securities Limited and Baden Hill (a trading name of Northland Capital Partners Limited) raised £26.2 million of which £25.4 million is for the benefit of the Company.

Hogan Lovells advises Sedgwick on its acquisition of Cunningham Lindsey

Hogan Lovells has advised Sedgwick Claims Management Services, Inc. (Sedgwick), a global provider of technology-enabled risk and benefits solutions, on its agreement to acquire Cunningham Lindsey, a global loss adjusting, claims management and risk solutions firm from a consortium of Sellers led by private equity firm CVC Capital Partners.

The Hogan Lovells team was led by corporate partner Robert Darwin in London with support from London Senior Associate Catherine Lah and corporate partners Jean-Marc Franceschi in Paris and Johannes Buntjer in Amsterdam.

A team of Heuking Kühn Lüer Wojtek led by Dr. Peter Ladwig advised sensor and automation specialist Balluff GmbH on the acquisition of software company iss innovative software services GmbH and of machine vision pioneer Matrix Vision GmbH Bildverarbeitung. AS part of the transactions, which were negotiated in parallel, Balluff acquired 100% of iss innovative software services, while the previous shareholders of Matrix Vision retain a 25% stake in the company.
