K&L Gates Advises Emaar Properties on Acquisition of Dinosaur Fossil Skeleton

K&L Gates LLP has advised Dubai-based developer Emaar Properties PJSC on the acquisition of an adult dinosaur fossil skeleton, which was put on display at The Dubai Mall, the world’s largest shopping center, earlier this week.

Dating from the Jurassic Period, the remains of this Diplodocus longus were discovered in a sleeping position in the Dana Quarry in Wyoming, USA, in 2008. The specimen was previously displayed at the Houston Museum of Natural Science in Texas before being shipped to the United Arab Emirates.

Ashurst acts on proposed A$550 million acquisition by Mermaid Marine

Ashurst is acting for Mermaid Marine Australia Limited (Mermaid Marine) on its proposed S$625 million (A$550 million) acquisition of all the subsidiaries of Jaya Holdings Limited, an SGX-listed company (Jaya).

The acquisition is to be funded by a combination of a A$317 million equity raising and US$227 acquisition financing facility.

DLA Piper advises on £13.25 million estate acquisition

DLA Piper has advised St. James's Place Property Unit Trust on the acquisition of Lister Road industrial estate from Store Property for £13.25 million. The sale price represents a net initial yield of 6.5 per cent.

Lister Road industrial estate is a 130,407 sq ft established multi-let industrial and trade counter estate, situated on a 7.2 acre site in south west Basingstoke.

Linklaters advises EMERAM Capital Partners on Hussel acquisition

Linklaters has advised the Munich private equity firm EMERAM Capital Partners GmbH on the acquisition of Hussel Süßwaren Fachgeschäfte GmbH, based in Hagen. The confectionery specialist is a 100% subsidiary of Douglas Holding AG. The parties signed a corresponding purchase agreement on 6 March 2014. The transaction is pending approval by antitrust authorities.

Multidisciplinary US team advised KG (US) Oilers Corp in its cross-border acquisition of the Bakersfield Condors

Dentons represented KG (US) Oilers Corp., an indirect subsidiary of the Edmonton-based Katz Group of Companies, in the cross-border acquisition of the Bakersfield Condors of the ECHL. The Condors, a professional ice hockey team based in Bakersfield, California, is the ECHL affiliate of the National Hockey League (NHL)’s Edmonton Oilers, a sports franchise owned by the Katz Group. The acquisition broadens the professional pool of minor league talent available to the Oilers while providing the Condors with access to the expertise and business operations of the major league team.

Fortune 500 life sciences company to acquire medical device developer

Jones Day is advising a Fortune 500 life sciences company in its acquisition of a developer of medical devices for approximately $250 million in cash. In a separate transaction, Jones Day is advising the company in securing the right to acquire another developer of medical devices in a related field. Financial terms were not disclosed.

Legal & General - £550 million acquisition of Hyperion portfolio

Slaughter and May advised Legal & General on the £550 million acquisition of the Hyperion portfolio, comprising 55 properties largely let to RBS or members of its group. The portfolio includes the trophy building at 440 Strand which is the Coutts headquarters. The transaction involved the acquisition of the UK target company owning the assets.

Osborne Clarke advises Campus Living Villages on 8-strong student accommodation acquisition

Osborne Clarke has advised long-standing client, global student accommodation specialist Campus Living Villages (CLV) on the acquisition of 8 student accommodation blocks from the administrators of Opal Property Group (Opal). The accommodation blocks were marketed following the collapse of Opal in March 2013.

The 8 blocks, described by property agent DTZ as ‘high quality stock’, are located in Liverpool, Manchester, Leeds, Birmingham, Nottingham, Newport and Greenwich. The acquisition of the blocks represents a significant expansion of CLVs investment portfolio in the UK.

King & Wood Mallesons SJ Berwin advises Invesco on acquisition of InterCityHotel portfolio

Invesco Real Estate has acquired on behalf of an institutional investor four InterCityHotels in the German cities of Darmstadt, Mainz, Frankfurt am Main (Airport) and Rostock from several vendors. The transaction value lies in the high double-digit million euro range.

In the case of each of the above entities, both companies have concluded new 30-year hybrid leases. In addition, extensive modernisation of individual entities was agreed upon.
