Zurich Accelerates Growth of Its Cover-More Business With Acquisition of 19 Travel Assistance Providers in Latin America

Zurich Insurance Group accelerated the growth of its specialist global travel insurance and assistance solutions business, Cover-More Group, by acquiring 19 traveler assistance providers in Latin America, positioning Cover-More as the leader in travel assistance solutions in the region. The acquired operations will continue to use the well-established Travel Ace and Universal Assistance brands, and will form Cover-More’s Latin American hub.

DWF advises Starboard Hotels on its acquisition of four Ibis Styles hotels from Carillion

DWF has advised Starboard Hotels on its acquisition of four Ibis Styles hotels from construction giant Carillion. Starboard is one of the UK's fastest growing independent hotel owner/operators and acquired the four properties in Barnsley, Birmingham NEC, Crewe and Haydock by way of a share acquisition of four hotel-owning companies from Carillion, for an undisclosed sum. The hotels will remain as Ibis Styles and be operated under franchise by Starboard from Accor.

Linklaters M&A Real Estate team advised Union Investment’s acquisition of SEK 1.2 billion property in Arenastaden from Fabege

Linklaters Stockholm M&A Real Estate team advised Union Investment Real Estate GmbH in the acquisition of the property Uarda 6 in Solna (Stockholm) by way of a share transfer from the listed company Fabege AB. The underlying property value amounts to SEK 1,2 billion (approx. EUR 120m). The property covers almost 18,000 sq.m. of mostly office space and is let to 95 % and anchored by strong tenants such as Siemens, H&M and Ambea.

McCann FitzGerald advises BBAM\FLY Leasing on the acquisition of up to 132 Airbus narrowbody aircraft from Air Asia

We advised BBAM\FLY Leasing on the acquisition of up to 132 A320neos from Air Asia and its leasing subsidiary Asia Aviation Capital (AAC).

This is a three-phase deal which will see FLY, together with parent BBAM’s other capital partners, Nomura Babcock & Brown and Incline Aviation, acquire 132 aircraft in total from AirAsia and AAC. The deal will also give FLY the option to acquire 50 A320neo family aircraft in the future. AirAsia will also make a $50 million investment in Incline Aviation.

CMS advises Atlas Copco on acquisition of German joining technology business for the global automotive industry

Atlas Copco, a leading provider of sustainable productivity solutions with an annual turnover of approximately 12 billion euros in 2017, has agreed to acquire the assets of Klingel Joining Technologies. The company specializes in flow drill technology, a joining method used in the automotive industry.

CMS-Partner Dr. Christian Haellmigk is leading the competition team which advises Atlas Copco.

Dentons advises Sobera Capital on a life sciences portfolio acquisition from Innoveas

Dentons has advised Sobera Capital on the acquisition of a portfolio of minority and majority shares in companies mainly in the life sciences sector from Innoveas International Ltd. The acquired portfolio includes, among others, interests in Presidio Pharmaceuticals, EffRx Pharmaceuticals, M.O.R.E. Medical Solutions, Axellis Ventures and MyoScience. The assets are mainly based in Europe and the US.

Greenberg Traurig Germany advises LaSalle on acquisition of "Salamanderhaus" in Stuttgart for EUR 73 million

Greenberg Traurig Germany advised LaSalle Investment Management (LaSalle) on the acquisition of the "Salamanderhaus" in Stuttgart. LaSalle acquired the property on behalf of the Testina investment foundation for approximately EUR 73 million by way of a share deal. Testina is a Swiss investment foundation for real estate investments. The seller was La Francaise Group.

The "Salamanderhaus" combines office and retail space and is fully let to a diverse tenant base. Greenberg Traurig Germany advised LaSalle comprehensively on all legal aspects of the transaction.

SVEZA group acquires plywood business in Tuymen

Baker McKenzie represented SVEZA, one of the world leaders in the natural birch plywood market, in connection with the acquisition of Tuymen Plywood Plant and two of its satellite companies in Tuymen. The acquired companies are major producers of large-sized plywood in Russia, supplying their products to various Russian and foreign construction companies as well as those engaged in machine, aviation and shipbuilding. The transaction is part of SVEZA’s strategy to increase its production volumes by expanding its portfolio with potential high-growth businesses.
 

Jeantet, Bredin Pratt, Cravath and Wilson Sonsini on the acquisition by InterDigital of more than 21.000 patents of Technicolor

The American group InterDigital, specialist in research and development in mobile technology, entered into a sale agreement of its “patent licensing business”, for an estimated value of 475 million dollars.

The agreement provides that InterDigital will pay Technicolor 150 million dollars in cash up front. Technicolor shall also receive 42,5% of all future cash receipts from InterDigital’s new licensing efforts in the consumer electronic field, estimated at approximately 215 million dollars.
