Clifford Chance advises Dietz AG on the sale of a distribution center in Peine

International law firm Clifford Chance has advised the project developer Dietz AG on the sale of a new distribution center in Peine for €81.6 million. The buyer was the UK-based logistics investor Tritax EuroBox plc, which acquired its first property in Germany by way of a share deal. Within the framework of the off-market transaction, Dietz AG acted as asset manager for Tritax EuroBox plc and will keep a smaller stake in the property.

Osborne Clarke advises Ultra on £22M Airport Systems divestment

International legal practice Osborne Clarke has advised Ultra Electronics on the sale of its Airport Systems Business to ADB SAFEGATE for a total consideration of £22m, of which £2m is deferred.

The Airport Systems Business was transferred to a new holding company which will be transferred to ADB SAFEGATE along with the relevant Ultra subsidiaries in China, France, South Africa and the US once all closing conditions have been satisfied. The transaction is expected to complete by 31 January 2019.

Baker McKenzie has advised EDF in the framework of the disposal of its interest in the share capital of the methane terminal of Dunkirk

EDF has completed the disposal of its 65.01% stake in the capital of Dunkerque LNG, the owner and operator of the Dunkirk methane terminal, to two investment consortia: the first being made up of Fluxys, AXA Investment Managers – Real Assets and Crédit Agricole Assurances, the second led by IPM Group and Samsung Asset Management. For this transaction, EDF was advised by Baker McKenzie.

Through the price paid by the two consortia, the average enterprise value for the entire stake in Dunkerque LNG, for all these operations, amounts to €2.4 billion.

Greenberg Traurig Advised Vantage Development on the Sale of an Office-Retail Building in Wroclaw

Lawyers from the Greenberg Traurig Warsaw office advised VD Invest, a subsidiary of Vantage Development, in connection with the sale of Delta 44, an office-retail building located in Wroclaw.

DLA Piper has advised 2 Sisters Food Group on the sale of its Manton Wood sandwich business to Samworth Brothers.

Located at Manton Wood, Nottinghamshire, it produces a range of retailer chilled sandwiches, wraps and rolls. The finalisation of the transaction is subject to customary closing conditions and regulatory clearances, which are expected to be completed in the coming months.

CMS advises Santander Private Real Estate Advisory & Management in Sale of a German Real Estate Portfolio

Berlin – A real estate company managed by the Santander Group has sold a portfolio of four commercial properties to various buyers with the support of CMS. The portfolio consisted of three commercial properties at Düsseldorf Airport, in Hamburg and Oldenburg and one logistics property in North Rhine-Westphalia.

DLA Piper advises ASB Real Estate Investments in the US$194.5 million sale of 400 Madison Avenue

DLA Piper represented ASB Real Estate Investments (ASB), a division of ASB Capital Management, in the recent sale of 400 Madison Avenue, a 180,000-square-foot office building near New York City's Grand Central Station, for US$194.5 million to Daishin Securities, a Korean financial services company. ASB completed the transaction on behalf of its Allegiance Real Estate Fund, a US$7.3 billion core investment vehicle.

The 118 units will be housed in two seven and eight storey residential blocks within the second development phase of Redcliff Quarter, the £250 million regeneration project in Bristol’s city centre.

DLA Piper advises joint venture on office building disposal in Munich

DLA Piper has advised a joint venture, managed by publity AG as part of an asset management mandate, on the sale of the office property "Sunsquare" to the Godewind Group for 30.5 million euros.

Located in a commercial area in Kirchheim near Munich, the property has a rental area of more than 18,000 square meters. The complex has an additional expansion reserve of around 15,500 square meters. The transfer of ownership, benefits and claims on the property and assets will be completed by the end of the year.
