Herbert Smith Freehills advised NB Private Equity on a refinancing for NB PEP Investment LP

Herbert Smith Freehills has advised Neuberger Berman Private Equity Partners Limited (the "Company"), on the refinancing of the existing revolving credit facility of NB PEP Investments LP (the "Borrower") through a US$150 million facility (including a US$ 25 million accordion) governed under New York law.

The facility is guaranteed by the Company as well as all of the Borrower's subsidiaries and secured by substantially all of the assets of the Company and its subsidiaries.

The Herbert Smith Freehills team was led by US finance partner Gabrielle Wong.

Intertrust Agrees to Acquire Elian

Simpson Thacher is representing Intertrust (Euronext: INTER), a leading global provider of high-value trust and corporate services, in connection with the debt financing related to Intertrust’s announced acquisition of Elian Group from its management and funds managed by Electra Partners. The transaction adds high-value complementary services for capital markets and private equity & real estate fund administration. The total consideration for the acquisition is €557 million.

Ashurst advises Capvis on financing the acquisition of Hennecke

Ashurst has advised Capvis Equity IV L.P. ("Capvis") on financing the acquisition of Hennecke Holding ("Hennecke"). Munich-based industrial group Adcuram has sold the polyurethane specialist Hennecke to Swiss private equity firm Capvis. The financing for the transaction was provided by Commerzbank AG, IKB Deutsche Industriebank AG, SEB AG and UniCredit Bank AG.

Mayer Brown represents CIMC on innovative $450 million direct-pay letter of credit backed Euro-commercial paper programme

London – Mayer Brown has advised CIMC Fortune Holdings Limited and China International Marine Containers (Hong Kong) Limited (CIMC), part of the largest container manufacturing group in the world, on the establishment of a $450 million Euro-commercial paper (ECP) programme supported by a direct-pay letter of credit issued by a Chinese financial institution of international repute.

White & Case Advises Acciaieria Arvedi S.P.A. on €240 Million Term Financing

Global law firm White & Case LLP has advised Acciaieria Arvedi S.p.A. on a €240 million term credit facility to refinance its existing indebtedness.

The financing has been granted by the holding company Finarvedi S.p.A. and by Siderurgica Triestina S.r.l.. The Arvedi Group was founded in 1963 and is one of the most significant European steelmaking businesses.

WFW advises 4WHEELS on €40m corporate financing

International law firm Watson Farley & Williams (“WFW”) has advised the 4WHEELS group (“4WHEELS”), a portfolio company owned by majority shareholder CAPCELLENCE Mittelstandspartner GmbH (“CAPCELLENCE”), on its €40m corporate financing. Commerzbank AG and WGZ BANK AG Westdeutsche Genossenschafts-Zentralbank acted as lenders.

The financing replaces an existing corporate financing and grants operating credit lines to 4WHEELS.

WFW also advised 4WHEELS on its initial operating credit financing from Commerzbank in 2012.
