White & Case Advises Banca Farmafactoring on €100 Million Private Placement

White & Case LLP has advised Banca Farmafactoring S.p.A. on the English and Italian law aspects of its subordinated Tier 2 bond of €100 million, 5.875 percent notes due 2027, prior to the optional redemption date. Morgan Stanley & Co. International plc acted as sole underwriter and lead manager.

The Notes will be listed on the regulated market of the Irish Stock Exchange.

Mizuho Financial Group Completes Offering of an Aggregate of US$3.25 Billion of Notes

The Firm recently represented Japan’s Mizuho Financial Group, Inc. (“MHFG”), in connection with its offering of US$1.5 billion of 2.953% Senior Notes due 2022, US$500 million of 3.663% Senior Notes due 2027 and US$1.25 billion of Senior Floating Rate Notes due 2022. The offering was made pursuant MHFG’s shelf registration statement on Form F-3 under the Securities Act. Mizuho Securities USA Inc., Goldman, Sachs & Co. and J.P. Morgan Securities LLC  were representatives of the underwriters for the offering.

KWM advises on the largest debut PRC high yield bond offering since January 2013

King & Wood Mallesons (KWM) has advised Xinhu (BVI) Holding Company Limited as its US and PRC counsel on its US$700 million 6.00% guaranteed senior notes offering due 2020 guaranteed by Xinhu Zhongbao Co., Ltd (Xinhu Zhongbao). The transaction marks the largest debut high yield bond issuance by a PRC company since January 2013, according to the Bloomberg database.

VINGE ADVISES COLLECTOR BANK IN CONNECTION WITH AN MTN PROGRAM

Collector Bank AB (publ), a subsidiary of Collector AB (publ) whose shares are listed on Nasdaq Stockholm has prepared an MTN program with a frame of SEK 5 billion for lending on the Nordic capital market. Collector intends to issue an SEK denominated non-subordinated and non-secured bond with a maturity period of three years, subject to a reservation for customary market terms and conditions and final confirmation from Collector Bank.

Cadwalader Transatlantic Team Advises on Complex Restructuring of Roust Corporation

Cadwalader acted as transatlantic adviser to the Ad Hoc Committee of Convertible Noteholders, as international and restructuring counsel, on a complex cross-border transaction involving the restructuring of approximately US$780m existing bond liabilities alongside the provision of significant new money by existing stakeholders. The innovative restructuring included the reincorporation of Roust Corporation from Delaware to New York to facilitate the participation of Russian creditors.

White & Case Advises Banks on Banca Popolare di Vicenza's €1.25 Billion State-guaranteed Bond Issuance

Global law firm White & Case LLP has advised Banca IMI and Morgan Stanley, as joint bookrunners, on Banca Popolare di Vicenza's €1.25 billion, 0.5 percent notes issuance due 2020.

This transaction represents the first State-guaranteed bond issued by an Italian bank.

The White & Case team which advised on the transaction was led by partners Michael Immordino (London & Milan) and Ferigo Foscari and local partner Paul Alexander, together with associates Louise Ruggiero, Angelo Messore, Davide Diverio and lawyer Alessandro Piga (all Milan).

Norton Rose Fulbright advises Kingdom of Bahrain on US$600m eurobond issuance

Norton Rose Fulbright has advised the Kingdom of Bahrain on its US$600m eurobond issuance, which closed today. The bonds will form a single series with existing US$1bn eurobonds, issued on 12 October 2016, on which Norton Rose Fulbright also advised.

The 12 year eurobonds were offered under Rule 144A and Regulation S of the US Securities Act of 1933 to investors in the United States and internationally. The eurobonds were admitted to listing on the Official List of the Irish Stock Exchange and to trading on the Irish Stock Exchange plc’s regulated market.

Mayer Brown advises Cheyne Capital Management on first CMBS transaction of 2017

London — Mayer Brown have successfully assisted Cheyne Capital Management on the securitisation of £101 million mezzanine notes, which were used to finance Brookfield’s acquisition of CityPoint - the skyscraper located at 1 Ropemaker Street, Moorgate. This is the first European CMBS of 2017.

Cheyne Capital Management acted as Arranger and Lead Manager on the transaction. The bonds are listed on the Irish Stock Exchange and were issued out of an Irish special purpose vehicle called Cleveland Row Finance No.1 DAC.

Norton Rose Fulbright advises ORIX Corporation on acquisition of USD300 million shipping loans from Royal Bank of Scotland

Royal Bank of Scotland has concluded agreements to sell at least USD600 million worth of shipping loans from its portfolio as part of efforts to exit the sector.

Japanese financial services firm ORIX Corporation has agreed to acquire approximately USD300 million worth of shipping loans from RBS. Germany's Berenberg Bank will assist ORIX with agency bank functions for the elevated loan portfolio and tin parallel Berenberg has agreed to acquire a similar value of loans from RBS.
