White & Case Advises Commerzbank on €1 Billion Financing for Vonovia

Global law firm White & Case LLP has advised Commerzbank Aktiengesellschaft as coordinator, bookrunner and mandated lead arranger, on the provision of a €1 billion financing for Vonovia Finance B.V. which includes a €300 million swingline facility.

The White & Case team in Frankfurt which advised on the transaction was co-led by partner Thomas Flatten and local partner Sébastien Seele, and included counsel Alexander Born, senior transaction lawyer Alexander Hansen Diaz and portfolio manager Juliana Leao.

Slaugher and May advised The Unite Group plc on its £275 million senior unsecured bond issuance

Slaughter and May advised The Unite Group plc ("Unite") on its £275 million senior unsecured bond issuance.

The bonds are guaranteed by various subsidiaries of Unite and bear interest at a rate of 3.5 per cent per annum with a term of 10 years. The bonds have been admitted to listing on the Official List and trading on the Global Exchange Market of Euronext Dublin.

Ashurst advises ING Bank on a €200m loan to Hyundai Capital

Ashurst advised ING Bank as the lender (arranger, original lender, security agent and facility agent) on granting a €200m loan ('covered loan agreement') to Hyundai Capital Bank Europe GmbH.

Intertrust Trustees GmbH acts as data trustee to guarantee data protection.

The Ashurst team comprised of Dr Martin Kaiser (lead), counsel Nikolos Tsagareli and associate André Schaumburg.

Dentons advises S-Kreditpartner on the refinancing of a consumer loan portfolio in excess of €700 million

Frankfurt—Global law firm Dentons has advised S-Kreditpartner GmbH, a credit institution in Berlin, on the refinancing of a consumer loan portfolio worth over €700 million via Societas Aurifex UG (haftungsbeschränkt), a special purpose entity incorporated for the purposes of this transaction. The special purpose entity was established via the TSI platform of True Sale International and acted as purchaser for the loan portfolio. The acquisition was financed through an untranched certificated loan (Schuldscheindarlehen) in a corresponding amount.

Davis Polk Advises Sumitomo Mitsui Banking Corporation on Its $1 Billion Notes Offering

Davis Polk advised Sumitomo Mitsui Banking Corporation in connection with a global medium-term note program update and a benchmark takedown, which consisted of $1 billion aggregate principal amount of senior floating-rate notes due 2020 guaranteed by SMBC’s New York branch.

SMBC is one of world’s largest commercial banks by assets.

Davis Polk Advises Sumitomo Mitsui Financial Group, Inc. on Its $2.5 Billion SEC-Registered Notes Offering

Davis Polk advised Sumitomo Mitsui Financial Group, Inc. on its SEC-registered takedown offering of senior TLAC notes, which consisted of $1 billion aggregate principal amount of 3.936% senior notes due 2023, $850 million aggregate principal amount of floating-rate senior notes due 2023 and $650 million aggregate principal amount of 4.306% senior notes due 2028. The notes are structured to count as total loss-absorbing capacity (“TLAC”) when TLAC regulations are implemented in Japan.

Orrick Advises Spanish Toll Road Concession Company on Debt Refinancing

Orrick advised Autopista del Guadalmedina, Concesionaria Española, S.A. (the “Company”) on all English law aspects relating to the refinancing of its existing debt totalling €229 million through the issuance of (i) Senior Bonds with an aggregate principal amount of €196 million and a 3.7% fixed coupon which are due on December 31, 2041; and (ii) Junior Bonds with an aggregate principal amount of €33,000,000 and a 6.25% fixed coupon which are due on December 31, 2029 (the “Refinancing”).

Cable and Wireless’ $500 Million Senior Notes Offering

Shearman & Sterling represented Citigroup Global Markets, BNP Paribas, Credit Suisse, Goldman Sachs International, ING Bank, RBC Capital Markets and Scotia Capital as initial purchasers in connection with Cable and Wireless' $500 million offering of 7.500% senior secured notes due 2026 by its wholly owned subsidiary C&W Senior Financing Designated Activity Company. The offering, which was conducted pursuant to Rule 144A and Regulation S under the U.S. Securities Act, closed on October 11, 2018.
