Simpson Thacher Represents Managers in $500 Million Senior Notes Offering by Mitsubishi UFJ Lease & Finance

Simpson Thacher recently represented the managers, led by Morgan Stanley & Co. LLC, Citigroup Global Markets Inc., J.P. Morgan Securities LLC and Goldman Sachs & Co. LLC, in an offering by Mitsubishi UFJ Lease & Finance Company Limited of $500 million aggregate principal amount of its 3.96% Senior Notes due 2023. The offering was conducted pursuant to Rule 144A and Regulation S. The senior notes are listed on the Singapore Exchange.

Mitsubishi UFJ Lease & Finance Company Limited is a comprehensive non-bank financial company headquartered in Japan.

DLA Piper advises Proparco FMO and Société Générale on the €90 million financing of SIFCA

DLA Piper advised Proparco FMO and Société Générale as lenders on the financing of SIFCA, a leading agro-industrial company in West Africa, with a €90 million loan.

The credit line has was granted on 8 October, 2018 to SIFCA in order to finance its investment plan. In the next five years, the investment will create or support more than 180,000 direct and indirect jobs across the Ivory Coast, Ghana, Nigeria, Liberia and Senegal where SIFCA and its subsidiaries operate.

Sidley advised China State Shipbuilding Corporation Limited (CSSC) on its first USD and Euro dual-tranche offering, which is comprised of the following: 1) US$485 million 4.125% credit enhanced bonds due 2021 through its indirect wholly-owned subsidiary CSSC Capital One Limited, as the issuer, with the benefit of a USD Keepwell Deed provided by CSSC; and 2) €300 million 1.75% credit enhanced bonds due 2023 through its indirect wholly-owned subsidiary CSSC Capital Two Limited, as the issuer, with the benefit of a Euro Keepwell Deed provided by CSSC.

Sidley Advises Country Garden on its US$975 Million Senior Notes Offering

Sidley has advised Country Garden Holdings Company Limited (HKEX: 2007) (Country Garden) in connection with its offering of US$425 million 7.125% senior notes due 2022, as well as its offering of US$550 million 8.0% senior notes due 2024. Both bond issuances include high-yield covenants and are pursuant to Regulation S. The issuances include an offering with a 5.3-year tenor which is one of the longest term issued by Chinese real estate companies since February this year. The offering is also one of the largest real estate bond issuances in China in recent months.
