Simpson Thacher Represents the Underwriters in $4 Billion Senior Notes Registered Offering by Sumitomo Mitsui Financial Group

Simpson Thacher recently represented the underwriters in the SEC-registered offering by Sumitomo Mitsui Financial Group, Inc. of $4 billion aggregate principal amount of its senior notes in three tranches due 2021 (floating rate), 2021 and 2026 (fixed rate). SMFG intends the senior notes to contribute to its total loss-absorbing capacity (TLAC) when TLAC requirements are introduced in Japan.

European Investment Bank's $3.5 Billion Registered Debt Offering

Cravath represented European Investment Bank in connection with its US$3.5 billion registered debt offering. European Investment Bank is a long-term financing institution of the European Union. The notes were listed on the Luxembourg Stock Exchange. The transaction closed on March 8, 2016.

The Cravath team included partner Philip J. Boeckman and associates Winnie Ling and Lawrence J. Verhelst.

UBS issues CHF 450,000,000 and EUR 750,000,000 senior debt instruments in support of its single-point-of-entry bail-in strategy

On February 22, 2016 and March 4, 2016 respectively, UBS placed two further issuances of "Bail-inable Bonds", a class of newly designed senior debt instruments. The first issuance, consisting of CHF 300,000,000 0.75 per cent. Senior Notes due February 2022 and CHF 150,000,000 1.25 per cent. Senior Notes due February 2026, and the second issuance, consisting of EUR 750,000,000 2.125 per cent. Senior Notes due March 2024, were both issued by UBS Group Funding (Jersey) Limited (together, the "Notes"), and are each guaranteed by UBS Group AG ("UBSG").

Norton Rose Fulbright advises Eurobank on €5bn covered bond programme

Norton Rose Fulbright has advised Eurobank Ergasias SA (Eurobank) as dealer and arranger on the update of one of its covered bond programmes and the increase in the nominal amount of covered bonds that may be issued under the programme from €3 billion to €5 billion. The assets under this covered bond programme are Eurobank’s Euro and Swiss Franc denominated residential mortgage loan assets.

Gowling WLG advises Empiric Student Property on £40 million matter

The Real Estate Finance and Investment Funds teams at Gowling WLG, formerly Wragge Lawrence Graham & Co, has advised longstanding client Empiric Student Property plc (Empiric) on a £40 million loan facility.

Empiric has agreed a fixed rate term loan facility of £40 million with Canada Life Investments. The loan will be secured against a portfolio of four forward committed assets on their practical completion, held as a lending group through a wholly owned subsidiary, Empiric Investments (Two) Limited.

King & Wood Mallesons advises Ipackchem group on the refinancing of its unitranche debt

King & Wood Mallesons has advised Ipackchem group, the specialist of plastic packaging, on the refinancing of its unitranche debt.

The refinancing was implemented by a two instalments senior debt of €25 million, granted by a banking pool composed of Société Générale, Crédit Agricole Loire and Haute Loire and LCL.

The KWM team was composed of partner Thomas Maitrejean as well as associates Thomas Dupont-Sentilles and Hind Badreddine.

Shearman & Sterling Advises Underwriters on HSBC’s $7 Billion Senior Notes Offering

Shearman & Sterling advised the underwriters (led by HSBC Securities (USA) Inc.) in connection with HSBC Holdings plc’s offering of US$7 billion of its fixed and floating rate senior unsecured notes.

This is believed to be the largest ever "Yankee" senior debt offering by a bank parent holding company, HSBC’s largest ever dollar issuance, and the largest debt offering by a bank in the last two years.

Mayer Brown JSM advises on IFLR Asia Awards 2016's “High Yield Deal of the Year”

Mayer Brown JSM advised Trade and Development Bank of Mongolia LLC on its landmark deal, which won “High Yield Deal of the Year” at the IFLR Asia Awards 2016 in Hong Kong last week. The firm acted as U.S. and English legal counsel, and advised on structuring and issuance aspects of its US$500 million 9.375% senior notes due 2020, which notes were guaranteed by the Ministry of Finance of Mongolia. This latest award follows the deal’s win in the same category at FinanceAsia’s Achievement Awards 2015.

Swiss Life - CHF 600 mio. Hybrid Bonds

Swiss Life Ltd has successfully placed a CHF 450 million undated subordinated bond, first callable in September 2021 (coupon until first call date: 3.75%) and a CHF 150 million dated subordinated bond with final maturity in 2046, first callable in September 2026 (coupon until first call date: 4.375%). he bonds have been placed with investors in the Swiss franc market.

Shearman & Sterling Advises Debt Funds on the Refinancing of Delsey Group

Shearman & Sterling advised Pemberton Capital Advisors, Avenue Capital Group and Permira Debt Managers as senior mandated arrangers on the €100 million refinancing of Delsey Group. The refinancing was in the form of unitranche English-law notes.

The refinancing of the French travel luggage group Delsey will further support and enhance the company’s strong growth ambitions globally and will be used to refinance the group's existing debt.
