Norton Rose Fulbright advises Hastings on refinancing of Hazel Capital’s UK solar portfolio

Norton Rose Fulbright has advised Hastings Funds Management Limited (Hastings) on the refinancing of a portfolio of operating solar PV ground mounted and rooftop assets, developed and operated by Hazel Capital LLP in the UK. The refinancing reached financial close on 2 March 2016.

The proceeds of the loans were used for the refinancing of construction and development costs incurred in connection with the development of the portfolio. The portfolio has a combined capacity of 11.413 MW and will generate electricity equivalent to the needs of around 5,000 homes.

Slaughter and May advised Deutsche Bank AG on the sale of a £396mm portfolio of UK residential mortgage loans by DB UK Bank Limited, a UK-based subsidiary of Deutsche Bank AG, to Rochester Mortgages Limited (RML), a subsidiary of OneSavings Bank plc (OSB), and its subsequent securitisation by Rochester Financing No.2 plc (Rochester 2).

Freshfields Bruckhaus Deringer has advised the Asian Development Bank (ADB), Credit Guarantee & Investment Facility (CGIF) and the Bank of the Philippine Islands (BPI) on the issuance of US$225m bonds by AP Renewables, Inc., a subsidiary of AboitizPower Corporation, for the Tiwi-MakBan geothermal power facilities.

Freshfields advised ADB in its capacity as guarantor and lender, CGIF as the second-loss cover provider and BPI as arranger, intercreditor agent and initial noteholder.

Mayer Brown JSM advises Asia Development Bank and International Finance Corporation on US$300 million loan financing in Myanmar

Mayer Brown JSM acted as the international legal adviser to the Asian Development Bank (ADB) and International Finance Corporation (IFC) on loans extended to Ooredoo Myanmar Limited, a telecommunications provider in Myanmar.

The US$300 million loan (US$150 million each from ADB and IFC) will be used to finance Ooredoo’s telecommunications infrastructure rollout that will provide a full range of fixed, mobile and data services across Myanmar.

Clifford Chance advises on Kuveyt Türk's first issuance of Basel III compliant Tier 2 sukuk

Clifford Chance, together with its associate firm, Yegin Çiftçi Attorney Partnership Istanbul, recently advised the joint lead managers on Kuveyt Türk's US$350 million subordinated Tier 2 certificates issuance listed on the Irish Stock Exchange. Kuveyt Türk is a Turkish participation bank with a credit rating of BBB by Fitch and is majority owned by Kuwait Finance House, a Kuwaiti-based financial institution. The deal marks the first issuance by Kuveyt Türk of Basel III compliant Tier 2 sukuk.

Davis Polk Advises Morgan Stanley on $400 Million Senior Notes Offering in Taiwan

Davis Polk advised Morgan Stanley in connection with its SEC-registered offering in Taiwan of $400 million aggregate principal amount of fixed-rate senior notes due 2036. The notes were settled in Euroclear and Clearstream and are listed on the Taipei Exchange in Taiwan and offered in Taiwan to professional institutional investors.

Baker & McKenzie advises China Eastern Airlines Corporation Limited on the offerings of USD184,660,000 secured notes

Shanghai, China, 23 February 2016 – Baker & McKenzie's finance and securities teams recently advised China Eastern Airlines Corporation Limited ("CEA"), as the lessee, and CES MU2 LLC, a special purpose trust incorporated in the state of Delaware, as the issuer, on the offerings of USD184,660,000 secured notes due 2026 guaranteed by the Export-Import Bank of the United States ("US Ex-Im Bank").  The proceeds from the offering were used to re-finance certain US Ex-Im loans for the leasing of one new Boeing 777-300ER and one new Boeing 737-800 aircraft.  According to HSBC,
