Naspers's $1 Billion Debt Offering

Cravath represented Myriad International Holdings B.V., a subsidiary of Naspers Limited, in connection with its $1 billion 144A/Reg. S debt offering, guaranteed by Naspers. Naspers is a global internet and entertainment group and one of the largest technology investors in the world. The notes were listed on the Irish Stock Exchange. The transaction closed on July 6, 2017.

The Cravath team included partner David Mercado, associate Yannick Adler and foreign associate attorney Christian Berg Meland.

Addleshaw Goddard advises on largest single issuance by housing association to date

Addleshaw Goddard advised joint bookrunners Barclays, HSBC and RBC Capital Markets on the largest bond issuance by a housing association to date.

The deal, which completed on 20th July, saw one of London's biggest housing association, London & Quadrant Housing Trust, access the strong demand from investors with a £500 million issuance, split between a 12 and 40 year dual tranche structure of £250 million each. Prudential, also advised by Addleshaw Goddard, acted as bond trustee and security trustee.

Ashurst advises DIC Asset AG on successful issue of €130m corporate bond

Ashurst advised DIC Asset AG (DIC) on the placement of its successful corporate bond issue.

The five-year bond has a volume of €130 million, and is listed on the official list of the Luxembourg Stock Exchange and admitted for trading on the regulated market of Bourse de Luxembourg. The bond was placed with institutional investors in Germany via a private placement.

Slaughter and May advised Premier Foods on its amendment to pension contributions, extension of maturities under its existing revolving credit facility and issue of senior secured notes

Slaughter and May advised Premier Foods plc (“Premier Foods”) on the extension of its existing revolving credit facility in relation to the commitments of certain lenders through the incorporation of a new integrated forward start tranche, which will extend the maturity of certain commitments under the revolving credit facility until December 2020.

Mayer Brown advises a syndicate of banks on the issue of EUR 3.5 billion Notes by Volkswagen Leasing GmbH

Mayer Brown advised a syndicate of banks on the underwriting and placement of EUR 3.5 billion Notes by Volkswagen Leasing GmbH issued under the EUR 25 billion debt issuance programme of Volkswagen Financial Services Aktiengesellschaft and further issuers.

The issue is divided into three separate notes, each guaranteed by Volkswagen Financial Services Aktiengesellschaft. Two notes have a floating rate of interest and are due 6 July 2019 and 6 July 2021, respectively, while the third series has a rate of interest set at 1.375 percent and is due 20 January 2025.

Homburger advised Credit Suisse AG in Jackson National Life's issuance of CHF 275 m FATCA-compliant Bonds

Credit Suisse AG acted as joint-lead manager together with UBS AG. The bonds will be listed on the SIX Swiss Exchange.

Milbank Advises SMBC Aviation Capital Limited on Investment Grade Debt Offering

LONDON, 20 July, 2017 – The firm has advised SMBC Aviation Capital Limited on a second $500 million investment grade debt offering by its wholly owned subsidiary, SMBC Aviation Capital Finance DAC. The notes are fully and unconditionally guaranteed by SMBC Aviation Capital Limited and proceeds of the offering will be used for general corporate purposes, which may include the purchase of aircraft and the repayment of existing indebtedness.

Debt costs for Annington Homes sliced after GBP4bn refinancing of securitisations

Allen & Overy has advised the arrangers, Barclays and JP Morgan, on the GBP4 billion refinancing of securitisations issued by Annington Homes. Annington’s primary business is the rental of residential property to the Ministry of Defence and is one of the largest private owners of residential property in the UK. Annington Homes is owned by Terra Firma, one of Europe’s leading alternative investment platforms.
