Eversheds Sutherland (International) advises NewRiver REIT plc on oversubscribed £225m placing

Eversheds Sutherland (International) has advised UK listed NewRiver REIT plc (NewRiver) on its oversubscribed £225m placing to help fund the £60m acquisition of its Bravo joint venture portfolio, and provide a war chest for future buying opportunities.

Believed to be one of the largest fundraisings in the property sector so far this year, it will take NewRiver’s market cap to over £1bn.

CMS is acting for long-standing client CityFibre Infrastructure Holdings PLC (“CityFibre”) on its £200m placing, which has been fully underwritten by Citigroup Global Markets Limited, Macquarie Capital (Europe) Limited, Liberum Capital Limited and finnCap Ltd, and non-underwritten offer for subscription to raise further gross proceeds of up to £15m. The placing was structured as a firm placing and accelerated bookbuild.

Advising Metro Group on its equity investment in Yoyo Wallet

The fintech team of international law firm Simmons and Simmons LLP has advised German retailer, Metro Group on its equity investment in Yoyo Wallet, the fast-growing mobile payments and customer engagement platform, as part of a funding round.
Yoyo Wallet is one of the fastest growing and largest multi-retailer mobile wallets in the UK. Founded in 2013 by Alain Falys, Michael Rolph and Dave Nicholson, it was recently chosen by Marketing Week as one of the Top 100 Disruptor Brands and by KPMG as one of 50 FinTechs to watch globally.

Advising on a US$520m placing and convertible bond offering by Hurricane Energy plc

Simmons & Simmons is advising Cenkos and Stifel on a US$520m placing and convertible bond offering by Hurricane.
Hurricane, a UK-based oil and gas company which specialises in the exploration and exploitation of fractured basement reservoirs, announced on 29 June 2017 a proposed placing of new shares to raise gross proceeds of a minimum of US$300m at a price of 32 pence per share and a convertible bond offering to raise US$220m, subject to an additional US$10m over-allotment option.

Shearman & Sterling Advises J.P. Morgan and UniCredit on €360 Million High Yield Bond Offering and €50 Million Credit Facilities Agreement

Shearman & Sterling acted as US law counsel to J.P. Morgan Securities plc and UniCredit Bank AG in the €360 million high yield bond issue of CMF S.p.A. (company entirely held by Manutencoop Società Cooperativa) and to J.P. Morgan Limited and UniCredit S.p.A. as lenders in the related €50 million super senior revolving credit facility. The transactions closed on July 7, 2017.

Shearman & Sterling Advises STMicroelectronics N.V. on Its US$1.5 Billion Dual-Tranche Offering of Convertible Bonds

Shearman & Sterling represented STMicroelectronics on its US$1.5 billion offering of senior unsecured bonds convertible into ordinary shares of STMicroelectronics, the early redemption of its outstanding US$600 million zero coupon convertible bonds due 2019 and the launch of a share buy-back program.

The new convertible bonds were issued in two tranches, a US$750 million zero coupon tranche maturing in 2022 and a US$750 million 0.25 percent tranche maturing in 2024.

Shearman & Sterling Advises Joint Bookrunners on Waberer's IPO

Shearman & Sterling advised Citigroup, Berenberg, Erste Group and Renaissance Capital, as joint bookrunners, in connection with the initial public offering and listing on the Budapest Stock Exchange of Waberer's International Nyilvanosan Mukodo Reszvenytarsasag. The IPO consisted of a primary offering of shares by Waberer's and a secondary sale of a minority stake held by Mid Europa Partners, which will continue to remain a significant shareholder.

DWF advises K3 Business Technology Group plc on its recent placing and open offer

DWF has advised K3 in relation to its £8.1m placing and open offer.

The proceeds are to be used to strengthen the Group's balance sheet and provide additional working capital to give the management team flexibility as it makes strategic decisions on the future direction of the Group.

An additional £0.7m was being invested in K3 through the exercise of warrants by Johan Claesson and related parties.

DWF advises Tatton Asset Management plc on £87m AIM IPO

DWF has advised Cheshire financial advisory business, Tatton Asset Management plc, on its £87m AIM IPO.

The Group was founded in 2007 by current Chief Executive Officer, Paul Hogarth. TAM provides a range of services to the FCA directly authorised financial adviser (‘‘DA IFA’’) marketplace encompassing discretionary fund management, regulatory and compliance services and mortgage services.

Eversheds Sutherland International completes double deal for Zeus Capital Limited

Eversheds Sutherland (International) has advised Zeus Capital on two consecutive AIM listings.

The two listings are the admission of GYG Plc, a market leading superyacht and maintenance company, and the flotation of discretionary fund manager Tatton Asset Management Plc.

The IPO gives GYG Plc, which operates throughout Europe and the United States, a market capitalisation of £46.6m before trading.
