Dentons advises the first Turkish business to IPO on the premium segment of the UKLA

London—Dentons is pleased to have advised DP Eurasia N.V., the exclusive master franchisee of the Domino's Pizza brand for Turkey, Russia, Georgia and Azerbaijan, on its successful initial public offering (IPO) and admission to listing on the premium segment of the UK Listing Authority (UKLA) and to trading on the London Stock Exchange. The offering raised gross proceeds of approximately £148 million. DP Eurasia is the first Turkish business to access the premium segment of the UK market – the "super-equivalent", and highest, standard of listing in the UK.

Global law firm White & Case LLP has advised Crédit Agricole CIB and Société Générale, as joint lead managers and joint bookrunners, on Korian's offering of undated bonds convertible into new shares and/or exchangeable for existing shares (Obligations à Durée Indéterminée à option de Remboursement en Numéraire et/ou en Actions Nouvelles et/ou Existantes) (ODIRNANE) for a nominal amount of approximately €240 million.

Baker McKenzie Acts on Link Group's AUD$883 Million Capital Raising to Acquire Capita Asset Services

Sydney, Australia, 4 August 2017 – Baker McKenzie acted for the joint lead managers and underwriters of Link Group's AUD$883 million entitlement offer, which was announced to the market on 26 June 2017. The proceeds of the entitlement offer will be used to assist in funding Link Group's ~ AUD$1.5 billion acquisition of Capita Asset Services (CAS).

Link Group administers financial ownership data and drives user engagement, analysis and insight through technology.

Meitu, Inc. is a global innovator in mobile video and photography, including themed photo and video apps, and is listed on the Main Board of the Stock Exchange of Hong Kong Limited

Slaughter and May has advised Credit Suisse (Hong Kong) Limited, as placing agent, in relation to the HK$362.5 million secondary placing and sale of shares in Xiabuxiabu Catering Management (China) Holdings Co., Ltd. The placing and sale of shares represents approximately 5% of the issued share capital of in Xiabuxiabu Catering Management (China) Holdings Co and was undertaken by way of an accelerated bookbuilding process to institutional investors.

Herbert Smith Freehills advises seven-bank syndicate on first IPO by an Indian securities depository

Herbert Smith Freehills has advised a seven-bank syndicate on the US$80 million IPO on the Bombay Stock Exchange (BSE) and Regulation S international offering of Central Depository Services Limited (CDSL), an Indian securities depository. 

The bank syndicate was led by Axis Capital and also included Nomura, Edelweiss, SBI Capital, Haitong, IDBI and Yes Securities.

The offering was oversubscribed over 170 times, attracting the greatest demand for an Indian IPO since 2005, with shares opening at a premium of more than 65% on trading debut.

Allen & Overy has advised the Co-operative Group on the terms of the GBP700m capital raising plan to secure the long term future of The Co-operative Bank and on the revised structure of the shared Co-operative “PACE” pension scheme.  Terms of the deal were reached between the Bank, the Group, the pension trustee and an ad-hoc committee of the Bank’s bondholders on 28 June 2017 and the plan was accepted and approved by the Prudential Regulation Authority.

Davis Polk advised BBVA Banco Francés, S.A. in connection with its $400 million SEC-registered follow-on offering of 75,781,788 ordinary shares of Banco Francés, including ordinary shares sold pursuant to exercise of the underwriters’ over-allotment option. The global offering comprised a rights offering in Argentina and public offerings in the United States and Argentina. Banco Francés’ ordinary shares are listed on the Argentine Stock Exchange and the Madrid-based Latibex, and its ADSs are listed on the New York Stock Exchange.
