THE NAGA GROUP AG goes public with Heuking Kühn Lüer Wojtek

A team led by Dr. Thorsten Kuthe and Dr. Christoph Gringel advises FinTech company THE NAGA GROUP AG (NAGA) on its IPO. Heuking Kühn Lüer Wojtek acts as a transaction counsel for Hauck&Aufhäuser and NAGA. Listing of the shares is scheduled for July 10, 2017 on the open-market Scale segment – subject to earlier completion of the subscription. The offer is based on the securities prospectus approved by the German Financial Supervisory Authority (BaFin) on June 6. This is only the second IPO on Frankfurt Stock Exchange’s new Scale segment.
 

Travers Smith advises on £105 million placing by Honeycomb Investment Trust plc

Travers Smith LLP has acted for Liberum Capital Limited in its capacity as placing agent on (i) a placing of £105 million of Ordinary Shares in Honeycomb Investment Trust plc (the "Fund") (the "First Placing"), and (ii) a further placing programme of up to 40 million Ordinary Shares and/or C Shares in the Fund.

The Ordinary Shares issued pursuant to the First Placing were admitted to trading on the Specialist Fund Segment of the London Stock Exchange's Main Market on 2 June 2017.

Herbert Smith Freehills advises on the first ever takeover offer of Japanese shares into the UK

Herbert Smith Freehills has advised The Prospect Japan Fund, a Guernsey-incorporated fund listed on the London Stock Exchange, on the c.US$147 million recommended takeover offer by Prospect Co., a Japanese-incorporated company listed on the Tokyo Stock Exchange.

The offer is an all-share offer of Japanese listed shares – believed to be the  first of kind in the UK – and is to be implemented by a Guernsey scheme of arrangement, subject to the satisfaction/waiver of customary conditions.

Travers Smith advises Numis on £200 million capital raising by IP Group plc

Travers Smith LLP has acted for Numis Securities Limited in its capacity as sponsor, broker, underwriter and joint financial adviser in connection with the proposed £200 million firm placing, placing and open offer, and offer for subscription (the capital raising) by IP Group plc (IP Group).

The capital raising is conditional, amongst other things, on approval by IP Group's shareholders and may be increased so that gross proceeds would be approximately £266.6 million should there be sufficient demand.

Slaughter and May advised Honeycomb Investment Trust plc, a specialist lending fund established and managed by Pollen Street Capital Limited, in connection with a first placing of 10 million ordinary shares to raise gross proceeds of £105 million and the implementation of a placing programme of up to 40 million ordinary shares and/or C shares.

The issued shares will be admitted to trading on the Specialist Fund Segment of the London Stock Exchange’s Main Market. Liberum Capital Limited acted as placing agent in connection with the first placing.
