Global Ports Holding Forms IPO on London Stock Market

Baker McKenzie has advised Global Ports Holding, the world's largest independent cruise port operator, on its initial public offering and listing on the London Stock Exchange. The deal closed today, 17 May 2017.

The floatation gives the company a market capitalisation of £465 million. The company plans to use the majority of the net proceeds to expand and develop new ports.

VINGE ADVISES MEDICOVER IN RELATION TO ITS LISTING ON NASDAQ STOCKHOLM

Vinge advises Medicover AB (publ) (“Medicover”) and its main shareholder Celox Holding AB (“Celox”), which is wholly owned by the charitable foundation the Jonas and Christina af Jochnick Foundation, in relation to Medicover’s listing on Nasdaq Stockholm. Trading in Medicover’s B share on Nasdaq Stockholm commences today, 23 May 2017. The price in the offering was set at SEK 56 per share, which corresponds to a value of the total number of shares in the company upon completion of the offering of SEK 7.5 billion.

Stephenson Harwood advises Jupiter Asset Management on £90 million IPO

Stephenson Harwood LLP has advised Jupiter Asset Management Limited on the successful IPO debut of Jupiter Emerging & Frontier Income Trust PLC, a UK investment trust.

The trust raised £90 million in its IPO and the admission of its ordinary shares to the main market of the London Stock Exchange. It will predominantly invest in companies exposed directly or indirectly to global emerging and frontier markets.

CMS advises on six Capital Markets transactions in first two weeks since combination

Davis Polk Advises China Yongda Automobiles Services Holdings Limited on Its Placing of Existing Shares to Certain Places and Subscription of New Shares by Asset Link

Davis Polk advised China Yongda Automobiles Services Holdings Limited in connection with its placing of certain existing shares to institutional investors through the placing agents. Pursuant to the terms of the placing and subscription agreement, Asset Link Investment Limited, a controlling shareholder of China Yongda, has placed 135,000,000 existing shares to the placing agents and China Yongda has subsequently issued an equivalent number of shares to Asset Link for an aggregate consideration of approximately HK$888 million (equivalent to approximately US$114 million).

CDH Investments Sells US$744 Million Shares in WH Group

Hong Kong - Paul Hastings, a leading global law firm, announced today that it represented Chinese private equity investor CDH Investments (“CDH”) in its US$744 million (HK$5.79 billion) placing of shares in WH Group, the world’s largest pork producer and processor. Morgan Stanley acted as the placing agent.

Paul Hastings will continue to act for CDH in its potential distributions of shares in WH Group to certain limited partners and/or investors of CDH, which accounts for approximately 0.54% of the total issued share capital of WH Group.

On 22 May 2017, SIX Swiss Exchange (SIX) listed Clariant AG and Huntsman Cor-poration, which is listed on the New York Stock Exchange (NYSE), announced that their Boards of Directors approved a definite agreement to combine in a cross-border merger of equals through an all-stock transaction. The combination of both companies will create a leading global specialty chemical company with a combined enterprise value of approximately USD 20 billion at announcement.

On 26 April 2017, Aoxin Q & M Dental Group Limited (“Aoxin Q & M” or the “Company”), the subsidiary of Q & M Dental Group (Singapore) Limited (“Q & M Singapore”), was spun off from the formerly listed parent company and successfully listed on the Catalist Board of the Singapore Exchange (the “SGX”). The Company offered 57 million placement shares at S$0.20 apiece in its initial public offering.

DLA Piper advises on debut issuance of Masala Bonds by the National Highways Authority of India

DLA Piper has acted on the debut issuance by the National Highways Authority of India of its rupee denominated bonds and the listing of the bonds on the London Stock Exchange and Singapore Stock Exchange.

This was a benchmark transaction with INR 30 billion raised for a five year bond. It is the world's largest such issuance to date.
