J-Star Completes ¥32.5 Billion Fundraising for Third Japan Buyout Fund Series

Simpson Thacher represented J-Star in connection with the formation of the its third Japan-focused fund series (the “J-Star No.3 Series Funds”). J-Star is a leading Japanese private equity fund sponsor, having won the PEI private equity firm of the year in Japan for five consecutive years. The J-Star No.3 Series Funds held their final closing on April 25, 2017 with ¥32.5 billion in aggregate capital commitments, exceeding the ¥30 billion target and reaching their aggregate fundraising hard cap.

Freshfields advises Pershing Square Holdings on its London listing

Freshfields Bruckhaus Deringer LLP (‘Freshfields’) has advised Pershing Square Holdings, Ltd., the listed investment fund, on the admission of its public shares to the Official List of the UK Listing Authority. This enables shares in the company to be traded on the Premium Segment of the Main Market of the London Stock Exchange (‘LSE’) in addition to its existing listing on Euronext Amsterdam.

Allen & Overy advises on the largest-ever private sector qualified institutions placement out of India

Allen & Overy advised the book running lead managers on the INR49.06 billion (approximately USD750 million) qualified institutions placement (QIP) issue of equity shares by leading private bank YES Bank Limited, the largest-ever private sector QIP from India. The offering of shares was also made into the United States under an exemption from registration under the U.S. Securities Act of 1933.

Clifford Chance has advised a consortium of 7 institutional investors on their arrangement of and subscription for up to US$52.5 million in convertible notes and detached equity options in listed medical devices company REVA Medical, Inc. (ASX: RVA).

REVA develops minimally invasive medical devices that leverage proprietary technologies, including drug-eluting bioresorbable coronary scaffolds for the treatment of cardiovascular disease, the leading cause of death worldwide.

Sydney—Dentons has advised Ingenia Communities on its successful AU$74m capital raising comprising an institutional placement and accelerated non-renounceable entitlement offer announced on 3 May 2017. The institutional components of the capital raising were significantly oversubscribed with strong demand from both domestic and offshore investors.

The proceeds from the capital raising will fund the expansion of Ingenia Communities’ lifestyle and holiday communities business through five acquisitions announced as part of the capital raising.

Dentons advises VGP NV on follow-on equity offering

Dentons has advised VGP NV, the leading international project developer of high-quality logistics and semi-industrial real estate and ancillary offices, on its €284.8 million Rule 144A/Regulation S marketed secondary public offering. The offering consisted of shares sold by affiliates of a founding shareholder and the chief executive officer, and is one of the largest secondary share sales in Belgium in recent years. VGP is incorporated in Belgium and listed on Euronext Brussels and the Prague Stock Exchange.
