Taylor Wessing advises Bloom & Wild on its fresh fundraising round

Taylor Wessing has advised Bloom & Wild, a London-based online letterbox flower delivery company named one of Britain’s 50 most innovative companies last year, on its £3.75m investment from German media company Burda, and existing investor MMC Ventures.

Bloom & Wild delivers tens of thousands of bouquets a month to customers in the UK and Ireland through the app or website. This is the second fundraising that Taylor Wessing has advised Bloom & Wild on, and the company has been a client of the firm since its incorporation in 2013.

Norton Rose Fulbright acts for AirTrunk in largest pre-revenue capital raising by a start-up in Asia-Pacific

Global law firm Norton Rose Fulbright has acted for data centre developer and operator AirTrunk on its $400 million capital raising. The deal has been referred to by financial adviser to the transaction JP Morgan “as the single largest pre-revenue capital raising by a start-up in the Asia-Pacific”.

Slaughter and May advised Qatar National Bank in their capacity as the Facility Agent in relation to the sale of Arab Bank shares.

Slaughter and May advised Qatar National Bank S.A.Q in their capacity as the Facility Agent in relation to sale of Arab Bank shares owned by Oger Middle East (Holdings) SAL (“OME”). OME is a subsidiary of Saudi Oger Limited – a company owned by the family of Lebanese Prime Minister-designate, Mr Saad Al-Hariri. The Arab Bank shares were purchased by a consortium of Arab and Jordanian investors led by the chairman of Arab Bank, Mr Sabih T. Masri for USD 1.12 billion.

Hogan Lovells advises on £40 million equity fundraising by RWS Holdings plc to finance the acquisition of LUZ, Inc

Hogan Lovells London-based corporate team has advised Numis Securities on their placing of £40 million of new equity in RWS Holdings plc (RWS) to institutional investors.

The funds will be used by RWS, together with a new debt facility and existing cash balances, to acquire the entire issued share capital of LUZ, Inc (Luz), a market leading life sciences translation services provider, for US$82.5 million.

The board of directors of Lundin Petroleum AB (the “Lundin Petroleum”) has proposed to spin-off the company’s assets in Malaysia, France and the Netherlands into the newly formed company called International Petroleum Corporation (“IPC”) and to distribute the IPC shares to Lundin Petroleum’s shareholders by way of a Lex ASEA distribution.

Lysogene Lists on Paris Euronext Market

14 February 2017 / PARIS – Dechert LLP advised Lysogene, a biotechnology company specializing in gene therapy, on its Initial Public Offering (IPO) in compartment C of the Euronext regulated market in Paris, raising €22.6 million through capital increase. This, in combination with the 2M€ from conversion of convertible bonds subscribed by Alto Invest’s funds, will allow Lysogene to carry out a total capital increase of €24.6 million.

Jose Cuervo's $790 Million IPO

Cravath represented Becle, S.A.B. de C.V., known collectively with its subsidiaries as Jose Cuervo, in connection with its international private offering of shares pursuant to Rule 144A and Regulation S and its concurrent initial public offering of shares in Mexico through the Mexican Stock Exchange. Jose Cuervo is a globally recognized spirits company and the largest tequila producer in the world. The shares began trading on February 9, 2017 and closing is expected to occur on February 14, 2017.

In exclusion of shareholders' subscription rights, the company’s share capital was increased by issuing 55,000 new shares against cash contributions, placed with selected institutional investors.
 

Travers Smith advises Numis on £46.5m placing for Learning Technologies Group plc

Travers Smith LLP has acted for Numis Securities in its capacity as bookrunner, nominated adviser and broker on the £46.5m placing of new ordinary shares issued by LTG.

The proceeds of the placing are to be used to part fund the £53.6m takeover offer by LTG for NetDimensions (Holdings) Limited announced on 3 February 2017.

The acquisition is conditional on, inter alia, the passing of shareholder resolutions at a general meeting of LTG and the takeover offer becoming unconditional.

Clifford Chance advises on US$184 million IPO for Asia's oldest stock exchange, BSE Ltd. in India

Clifford Chance advised the underwriters on the international aspects of the US$184 million (Rs 12.4) initial public offering of BSE Ltd. (formerly the Bombay Stock Exchange), Asia's oldest stock exchange. The IPO was the first listing of a stock exchange in India and was oversubscribed by 51 times.
