Hengeler Mueller advises on placement of shares of Hella KGaA Hueck & Co. by way of accelerated bookbuilding

Hengeler Mueller has advised on a placement of around 2.2 million shares of Hella KGaA Hueck & Co. from the holdings of the shareholder family. The transaction was carried out by an international private placement to institutional investors through an accelerated bookbuilding procedure. Deutsche Bank acted as bookrunner.

Hengeler Mueller advised the family shareholders involved on the transaction. The Hengeler Mueller team included partners Thomas B. Paul, Reinhold Ernst and Dirk Busch (all Corporate and Capital Markets, Düsseldorf).

IPO of ObsEva SA

Lenz & Staehelin acted as Swiss counsel to ObsEva SA, a Geneva clinical-stage pharma company, which develops therapies for women's reproductive health. ObsEva raised USD 97 million in January 2017 by offering 6.5 million shares at USD 15 and will list on the Nasdaq.

Lenz & Staehelin's corporate team was led by Jacques Iffland and included Sevan Antreasyan, Alix Farserotu and Emilie Jacot-Guillarmod.

The firm's tax team was led by Jean-Blaise Eckert and included Rebecca Dorasamy and Jenny Benoît-Gonin.

China Shipping Seeks to Raise US$1.7 Billion through Proposed Non-Public Issuance of A-Shares

Hong Kong - Paul Hastings, a leading global law firm, announced today that it is representing COSCO SHIPPING Development Co., Ltd (formerly known as China Shipping Container Lines Company Limited) (the “Company”) on its proposed non-public issuance of A shares to not more than 10 specific target subscribers, including the Company’s controlling shareholder, China Shipping (Group) Company (“China Shipping”), which will raise gross proceeds of up to US$1.7 billion.

Pinsent Masons has advised Hannam & Partners and Daniel Stewart & Company Plc as joint bookrunners on the £15.2m main market IPO of Rainbow Rare Earths Ltd.

Rainbow Rare Earths Ltd is a Guernsey incorporated rare earth development company operating in East Africa with a specific focus on Burundi and the company's shares were admitted to trading on 30 January.

The Pinsent Masons team acting on the transaction was led by partner Jon Harris and senior associate Adam Cain with assistance from solicitor Dan Hickie.

BLP advises SDX Energy Inc. on a $40m fundraising and acquisition of Circle Oil’s assets in Egypt and Morocco from Administration

Berwin Leighton Paisner (“BLP“) have advised AIM and TSX-v listed SDX Energy Inc. (“SDX” or the “Company”) on its $40m fundraising, raising 130% of its previous market capitalisation.  The fundraising is to fund and was conditional on the acquisition of a portfolio of oil and gas production and exploration assets in Egypt and Morocco, which were held by Circle Oil plc, from the Administrator of one of Circle’s subsidiaries for $30m. The acquisition and fundraising both completed on 27 January.
